Kinstellar acts for lenders in domestic and cross-border transactions and also regularly advises borrowers in real estate finance transactions. It acted as local counsel to RBS on its €900m syndicated refinancing of European Directories Group, which included Slovak Mediatel. It is acting as local counsel for Carmeuse Holding on the issuance of high-yield bonds, a €380m syndicated facility, and provision of guarantees and security. Other clients include PointPark Properties and ProLogis. Managing partner Patrik Bolf heads the team.

Kinstellar advises companies on general corporate matters, acquisitions and investments with a particular focus on real estate development. It advised Ballymore Eurovea on an aggregate €50m investment by AREA and subscription of new shares. It also advised Washington Penn on its up to €70m acquisition of an SPV created for a production facility project. It continues to advise VINCI Concessions on its PPP for the R1 Highway in central Slovakia. Bratislava-based managing partner Patrik Bolf and of counsel Miroslav Németh are the names to note.

  • Slovak Labour Code: amendments effective since September 2011

    One of the responses of the Slovak government to the financial and economic crisis is the latest amendment of the Labour Code. Its declared aims is, inter alia, to (i) reduce employers' costs, mainly in relation to the redundancy payments, (ii) introduce more flexible employment relationships (iii) enable more tailor-made solutions for the respective employer and (iv) weaken the position of trade unions by allowing also works councils and works trustees to negotiate and conclude plant-level agreements with the similar content and effect as that of collective agreements; this goes hand in hand with the change of basic concept of these agreements as they are now allowed to introduce also some less advantageous employment conditions than minimums referred to under the law.
