Advokatfirman Södermark is ‘competent, client-minded and goal-oriented’. The ‘simply outstanding’ Torgny Wetterberg successfully defended an eminent bank employee suspected of insider trading. Torgny Wetterberg, Kristoffer Ribbing and Catharina Baerselman successfully represented the Swedish electricity industry against the energy market inspectorate. Lars Göthlin is also recommended. The firm represents lawyers and law firms and continues its success in international arbitrations.

Advokatfirman Vinge’s ‘comprehensive, detail-orientated’ group, headed by international arbitration specialist James Hope, was boosted significantly by leading names Johan Gernandt and Jonas Eklund from Gernandt & Danielsson Advokatbyrå. Christina Ramberg, a professor at Gothenberg University joined in 2008. The firm represented a subsidiary of the Carlsberg group in a €7bn SCC arbitration against Scottish & Newcastle. Hans Bagner ‘is friendly, responsive and and a joy to deal with’. Along with Fin Madsen he represented Global Air against ABB, challenging a $100m arbitration award. Christer Söderlund is also recommended.

Claes Zettermarck at White & Case Advokat ABcan develop a strong argument in any situation’. Alongside Bengt-Åke Johnsson and ‘highly experienced’ Anders Reldén, Zettermarck acts in top-level arbitrations. The 16-lawyer group excels at complex litigation, representing major corporations and public entities. Clients in 2008 included the State of Ukraine, Skanska, Svenska Handelsbanken and TeliaSonera.

Although Wistrand’s Stefan Lindskog has been appointed as a Supreme Court judge, the firm ‘remains strong’ in litigation. Jesper Grünbaum ‘has all the right skills and standards’. Lars-Olof Svensson and Mårten Hulterström are recommended. Harry Bergman successfully represented C More Entertainment and Kentaro concerning broadcasting rights to Swedish premier league football.

Baker & McKenzie Advokatbyra’s Stefan Bessman and Jonas Benedictsson – commended for his ‘exceptional brainpower and commitment’ – are lead counsel in the multi-jurisdictional LUKOIL arbitrations against PetroKazakhstan. The six-lawyer team works with the firm’s global network, and ‘provides a high level of service’. It is representing Coinstar Inc in an ongoing arbitration.

Ulf Mellqvist leads Bird & Bird Advokat KB’s strong and experienced team, which includes Supreme Court litigator Henrik Bielenstein, commended for his ‘deep insight in resolving problems’; and Fredrik Norburg from Mannheimer Swartling. The firm is acting in one of the biggest economic fraud cases in Swedish history: the SEK1.5bn damages claim against the auditors and directors of Prosolvia. Other clients include 3G Infrastructure Services, Posten, and nine Swedish municipalities.

The ‘superb’ Lars Edlund at G Grönberg Advokatbyrå AB chairs the arbitration between Skandia Liv and Skandia Insurance Company Ltd. Einar Wanhainen is ‘a quick thinker and good at grasping the key points’.

Gernandt & Danielsson Advokatbyrå represents Skandia in a SEK3.2bn arbitration. In 2008, Karl-Erik Danielsson successfully defended Nordea in a SEK200m dispute with Folksam. Karl-Erik Danielsson and Björn Tude are frequently appointed arbitrators, although the group will miss Johan Gernandt and Jonas Eklund. Renowned for its telecoms litigation expertise, the firm regularly represents Telenor Sweden.

Per Sundin at Hammarskiöld & Co represented Scottish & Newcastle in arbitration proceedings and Procter & Gamble in a marketing law dispute. Peder Hammarskiöld chairs two major reinsurance arbitrations in Copenhagen.

Linklaters LLP’s team, led by Anders Nordström, includes Niclas Widjeskog and Magnus Eriksson. In line with the firm’s global practice, it handles cross-border, transactional and regulatory issues. One consequence of this strategy has been the departure of the talented Martin Wallin to Hannes Snellman. The firm is highly active in the pharmaceutical sector, representing AstraZeneca in US patent litigation and consumer cases. Other clients include TeliaSonera, Hewlett-Packard and Old Mutual.

Nilsson & Co is a seven-partner litigation boutique established by Advokatfirman Cederquist’s former team. Group head Ola Hansson and Olof Nilsson are recommended for ‘thorough, to-the-point advice and sharp litigation’. In 2008 they successfully represented Skandia Livförsäkrings against Skandia.

Therese Isaksson at Lindahl represents insurance company If and Nordic retailer ICA Group. Eva-Maj Mühlenbock undertakes commercial dispute resolution and state aid work. In February 2009 the team was strengthened by ‘phenomenally strong’ IP litigators following the merger with RydinCarlsten. Ulf Dahlgren and Bo G H Nilsson, who is described as ‘one of the top arbitrators in Sweden’ are well-known throughout the market. ‘Quick, reliable’ Jesper Tiberg represents Swedish inventor Hakan Lans in a dispute with an American computer company.

Setterwalls is one of few Swedish firms with a mediator certified by the Chartered Institute of Arbitrators in London. Harald Nordenson’s team undertakes domestic and international litigation and arbitration. In 2008 it represented TUI Fly Nordic in a $4.5m damages claim against the Swedish CAA. It is also representing OJSC Techsnabexport before the Svea Court of Appeal. Claes Broman is recommended.

Advokatfirman Cederquist has lost six partners to Nilsson & Co. The team, led by Erik Wernberg (recruited from Hammarskiöld & Co), represented Skanska Sverige in court proceedings against ISS, and includes managing partner Jens Tillqvist. Martin Rifall has joined from White & Case Advokat AB.

Advokatfirman Delphi’s dispute resolution group was boosted by ‘first-rate litigator’ Olof Rågmark from White & Case Advokat AB. Peter Skoglund and Henrik Bengtsson specialise in IP, advertising and marketing litigation. The team represented US flashlight manufacturer Mag Instrument, Inc in the Swedish Supreme Court. Other clients include insurance company Trygg-Hansa and several municipalities. Ulf Hårdeman is recommended.

At DLA Nordic, Claes Rainer heads a broad litigation practice, supported by the firm’s international network. Stefan Kamlin represented minority shareholders in Skandia against Old Mutual in compulsory share purchase proceedings. Bengt Kärde represented Folksam Mutual against ING BHF-Bank.

MAQS Law Firm’s blue-chip clients include ABN AMRO, Choice Hotels Sweden, Reitan Servicehandel and Motion Pictures Association, as well as insurance and reinsurance companies. Lars Boman is well respected.

Roschier’s team, headed by Axel Calissendorff, was boosted by Claes Lundblad from Mannheimer Swartling. Clients include TeliaSonera and Finnish chemical group Kemira Kemi.

Ashurst’s Christina Malm is commended for ‘sharp and quick analysis’. Along with Johan Gregow, she represented TeliaSonera against Telenor.

Dhunér Järvengren Advokatbyrå’s Karl J Dhuner regularly acts as arbitrator in domestic and international commercial disputes.

Ekenberg & Andersson Advokatbyrå AB handles numerous arbitrations relating to the renegotiation of agreements.

  • Earn-out Models for Mergers and Acquisitions

    Buyers and sellers often have different views on how much a target is worth and how its value should best be determined. Normally, the valuation of a company is based on both its past performance and its projected future performance. While the seller may be confident of the company's future growth, the buyer may be reluctant to assume the risk of the company failing to perform as expected by paying the seller the whole purchase price upfront. In some cases this problem can be mitigated by the parties agreeing on the introduction of an earn-out provision into the transaction, thus spreading the risk between the seller and buyer.

  • Commission v Germany: A New Approach on In-house Providing?

    On June 9, 2009 the European Court of Justice (the ECJ) handed down its judgment in Commission v Germany (C-480/06).1 The case, the facts of which are described below (see section 3), concerns the scope for co-operation between local authorities without the need for a tendering procedure in accordance with the detailed rules of Directive 92/50 (which in all aspects relevant to this article are the same as in the new Directive 2004/18).2 At first glance the judgment may appear to the reader to be contradictory to the ECJ’s settled case law on what the Court itself refers to as in-house providing (the so called Teckal doctrine, described in further detail below in section 2).3 Consequently the judgment has, in Sweden as well as in other Member States, given rise to discussions among those active within the field of public procurement. Some commentators have even expressed the view that the judgment in Commission v Germany represents a new approach on in-house providing.
