BGI Legal handles large-scale real estate developments and construction projects in the energy sector. Lasha Gogiberidze and Zaza Bibilashvili are the key names, and advised a group of international investors on a $250m secured loan to finance the construction of the Adjaristsqali hydropower project. Unana Gogokhia advised another financier on the $7m financing of a new hotel construction project in Tbilisi.

Dentons Georgia LLC uses its corporate expertise to advise clients on real estate matters, including construction contracts and project agreements. Avto Svanidze and senior associate Irakli Pipia assisted a private equity firm with the drafting and negotiation of a tunnel construction contract related to the $130m Oni hydropower project. The pair also advised m2 Real Estate on a $35m agreement with Center Point Group to undertake the construction of residential complexes.

The 'proficient and responsive' Gvinadze & Partners LLC is 'ideal to deal with', especially for foreign investors. Nick Gvinadze is 'very professional and an excellent communicator'; he recently advised RCI Europe on the legal implications of franchising a number of resorts in Georgia, assisted by Zakaria Shvelidze and senior associate Tornike Amilakhvari. Sophie Panjikidze, who is 'highly professional and rigorous', advised San Diego State University on the development and construction of a new campus in Tbilisi. She also assisted Dasta Records Management with drafting a construction agreement for a new warehouse and data storage facility in Georgia.

BDO Legal assists on tender procedures for purchasing state-owned real estate, as well as on the structuring of large-scale projects, including hydroelectric power facilities. Team head David Gelashvili drafted sale agreements for Tbilisi Hills, the developer behind a luxury residential and entertainment complex. David Khrikadze and senior associate Giorgi Maisuradze assisted a group of Russian private investors with a complex $1.6m agricultural land purchase for development purposes.

BLB (Business Legal Bureau) has expertise in all aspects of property development, including sale and purchase agreements, acquisitions and leases. Clients come from the commercial, retail, industrial and residential sectors. Maya Mtsariashvili and David Khaindrava are advising BI Group on the construction of a $50m residential complex, handling construction contracts and negotiations with state authorities over licensing permits. Kakha Sharabidze and associate Levan Kirtskhalia advised Villa Godoly on all aspects of a hotel construction project in the Kakheti region, which also involved renovating cultural heritage sites. With the assistance of associate Nino Gotsireli, all three partners combined to advise Gloria on privatisation matters and licensing issues relating to the client's ongoing construction of a hotel on land acquired from the state. Senior associate Ana Rekhviashvili is also a noteworthy name at the firm.

Senior associate Lasha Uplisashvili heads the energy, real estate and construction practice; energy and infrastructure specialist Alexander Bolkvadze advises clients on real estate investment projects; and Giorgi Batlidze focuses on projects in the energy sector.

Mgaloblishvili, Kipiani, Dzidziguri Law Firm is experienced in project finance and regulatory issues in the construction sector. The firm is acting as legal counsel to Atlas International in relation to the construction of vehicle inspection centres in Georgia. Daduna Kokhreidze leads the team, and is enlisted by clients for her 'high level of knowledge of Georgian legislation'. She specialises in construction disputes, and successfully represented Archtrade in a dispute with a number of state bodies, including the Ministry of Justice, regarding payment for works. She was supported by associate Nina Tsaturova, who also assisted Kokhreidze in advising the Roads Department of Georgia on the legal risks of terminating a high-value highway construction contract; the firm advised the same client on the construction of a separate highway. Alongside Kokhreidze, the 'outstanding' Nino Kvinikadze, who is praised for her 'diplomatic skills of bargaining and negotiation', advised developer Georgetown on the construction of mixed-use facilities in Tbilisi.

Archil Mchedlidze’s Law Practice LLC assists local and foreign investors with construction and development projects in Georgia. Archil Mchedlidze and Valeri Bendianishvili head the real estate and construction practice, and recently advised a manufacturer of building materials on a $2.5m construction project in Georgia.

EY Law advises clients in the real estate sector on regulatory compliance and tender procedures. George Svanadze recently assisted a client with drafting contracts for the construction of broadband network infrastructure across Georgia, as well as conducting a legal assessment of a land plot for the issuance of a construction permit on behalf of an investment group. Senior associate Elene Sulkhanishvili assists on most real estate mandates.

Aleksandre Kamushadze leads GLCC Law Firm's real estate and construction team; he recently acted for Sanco in a breach of contract dispute with a contractor, as well as terminating the contract and negotiating the agreement to hire a replacement. He also advised Mercury-Vake on the construction and development of apartments in Tbilisi. Managing partner Irakli Gaprindasvhili defended Meidan Group against an action brought by the Tbilisi Municipality to terminate a project in the historical centre of the city; he successfully appealed against the initial judgment, allowing the client's construction work to continue.

  • Turkey: Special Purpose Acquisition Companies

    Special Purpose Acquisition Companies (" SPAC "), which are incorporated to achieve the purpose of investing and merging with a non-public company, were first introduced in the United States in 1990s and recently increased its popularity globally. Unlike other countries, SPACs entered into Turkish legal system relatively late with the Communiqué on Common Principles Regarding Significant Transactions and Appraisal Right (Communiqué No. II-23.1) of the Capital Markets Board (" CMB "), published in the Official Gazette dated 24.12.2013 numbered 28861(" Appraisal Right Communiqué "). Currently, there is no SPAC listed under Borsa Istanbul (" BIST ") in Turkey. SPACs are very similar to venture capital structure and can be considered as a strong alternative for investors and shareholders in Turkey as well.
