Work highlights
Represented Fortis Advisors LLC in its capacity as the representative for former shareholders of Auris Health, Inc. in a merger earnout dispute with its acquiror, Johnson & Johnson. After four years of litigation, the Delaware Court of Chancery ruled that Johnson & Johnson owed the former shareholders more than $1.1bn in damages.
Filed a $6n lawsuit, as co-lead counsel, in December 2024 for Albertsons Companies against Kroger, arising out of Kroger’s failure to exercise required efforts to secure regulatory approval for the merger of these two national grocery store chains. The FTC, Washington State, and Colorado all brought injunctions to stop the merger, and the FTC prevailed. The team was brought in to lead the plaintiff-side case against Kroger in the subsequent M&A dispute.
Acted as Litigation Oversight Committee to Genesis Global Holdco, LLC. In January 2023, Genesis Global Holdco, LLC, a major cryptocurrency lending and trading platform, and two affiliated debtors filed for Ch. 11 protection in the US Bankruptcy Court for the Southern District of New York. Genesis emerged from bankruptcy with a significant litigation reserve in anticipation of litigation against its parent entity, Digital Currency Group, Inc., its CEO Barry Silbert, and other parties.
