Work highlights

Advised May Zhou, the minority shareholder of a group of closely held corporations engaged in the international education space. She brought suit against her co-shareholders for their breaches of fiduciary duties in freezing her out. The court issued a resounding win for Zhou, finding Zhou had proved numerous breaches of fiduciary duties, defamation, and civil conspiracy.
Represented automobile dealerships that acquired automotive franchises and simultaneously entered into short-term real property leases with unusual, heavily negotiated purchase options, pursuant to which they acquired the dealership properties on the lease expiration dates. Immediately following closing of the agreements, Landlords sought to rescind the sales on the basis that Tenants had misbehaved in the appraisal process that established the purchase prices.
Representing Dan Schneider, a former Nickelodeon writer and producer, in an action against Warner Bros. Discovery, Inc., Maxine Productions, Sony Pictures Television Inc. et al, for defamation arising out of the trailer for and documentary of Quiet on Set, currently streaming on MAX.
