The terms and conditions below (together with any booking confirmation we provide to you) ("Terms") set out the agreement between Legalease Limited (trading as Legal 500) ("we", "us" or "our"), a company registered in England and Wales under company number 02427356 with registered office at 188 Fleet Street, London, United Kingdom, EC4A 2AG, and "you" as the Event Attendee and/or Ticket Purchaser.
By booking a table, half table or seat at a table at an Event (each comprising one or more Tickets), registering for, or otherwise attending an Event, you accept and agree to these Terms.
1 Definitions and interpretations
1.1 In these Terms, the words and expressions set out in the Schedule will, unless the context otherwise requires, have the meanings set out in the Schedule.
1.2 If there is any inconsistency between these Terms and any booking confirmation, these Terms will prevail.
1.3 References to the word "include" or "including" (or any similar term) are not to be construed as implying any limitation and general words introduced by the word "other" (or any similar term) shall not be given a restrictive meaning by reason of the fact that they are preceded or followed by words indicating a particular class of acts, matters or things.
1.4 If any condition or covenant contained in these Terms requires a party to it not to do an act or thing it shall be a breach of any such condition or covenant to permit or suffer such act or thing to be done.
2 General
2.1 By purchasing a Ticket, registering for, or otherwise attending an Event, you agree to comply with these Terms. You will ensure that any Guest is provided with a copy of, and complies with, these Terms.
2.2 If you do not (or any Guest does not) comply with these Terms or any Venue Terms, we may, in our absolute discretion, terminate the licence(s) granted under your Ticket(s) and/or remove you from, or prevent you from accessing, the Venue.
2.3 Unless otherwise stated, Events are intended for attendees aged 18 or over. We reserve the right to refuse entry to any person who appears to be under 18 years of age and cannot provide valid proof of age.
2.4 You can contact us as follows:
Address: 188 Fleet Street, London, United Kingdom, EC4A 2AG
Email: [email protected]
3 Event registration
3.1 Where attendance at an Event requires registration (whether or not a Ticket is issued), you must register in the manner specified by us (for example, via an online registration form, by accepting an invitation, or as otherwise directed by us). Registration is subject to acceptance by us and we may decline any registration at our discretion.
3.2 You must provide accurate and complete information when registering for an Event. We may use the information you provide to contact you and to manage your attendance at the Event. We are not responsible for any failure to receive Event-related communications, or for lost or incomplete orders, resulting from incorrect or incomplete information provided by you.
3.3 Where we accept your registration, we will confirm this by email or other written communication. A confirmed registration grants you a personal right to attend the Event, subject to these Terms, but does not guarantee a specific seat, table placement, or access to any particular session, speaker, or benefit unless expressly confirmed in writing.
3.4 If you are unable to attend an Event for which you have registered, you should notify us as soon as reasonably practicable using the contact details at clause 2.4. We reserve the right to offer your place to another attendee. Where a registered attendee fails to attend an Event without notifying us, we may take this into account when considering future Event invitations or registrations.
3.5 We may cancel or withdraw any registration at any time and for any reason, including where we reasonably believe that the registrant does not meet the eligibility criteria for the Event (for example, where an Event is restricted to a particular category of attendee). Where we cancel a registration, we will notify you as soon as reasonably practicable.
4 Ticket purchase
4.1 Certain Events are paid-for and/or have limited capacity and require the purchase of a Ticket in addition to any registration under clause 3. This clause 4 applies where you purchase one or more Tickets for an Event.
4.2 Tickets may only be purchased from us. Any Tickets purchased from any other source may be cancelled by us or the Venue without refund or compensation.
4.3 When you place an order for a table, half table or one or more seats at a table, you are offering to buy the number of Tickets specified in your order. All Tickets are subject to availability and orders are subject to acceptance by us. Where we accept an order, we will confirm your purchase by email in the booking confirmation.
4.4 Ticket prices are as quoted to you during the booking process and are exclusive of any applicable VAT that may be payable.
4.5 Invoices are due for payment immediately on receipt. If you do not pay an invoice: (a) within 30 days of the invoice date; or (b) within five days of the invoice date if the Event is less than two months away when we send you the invoice, we may cancel your Ticket order and resell the Tickets. If we cancel your order, we will notify you by email.
4.6 Sales of any Tickets are final. No changes, cancellation or exchange of any Tickets (or any element of such Tickets) will be permitted, except as specifically set out in these Terms or as authorised and facilitated by us from time to time (in our absolute discretion).
4.7 Tickets may be issued to you by email in the booking confirmation or if no physical or electronic tickets will be issued, your booking confirmation will set out the number of Tickets booked and, where applicable, your table allocation.
4.8 Where Tickets are issued to you, once you receive your Tickets, you are solely responsible for keeping them safe. We will not compensate you for lost, stolen, forgotten, or damaged Tickets.
4.9 You are solely responsible for ensuring that the information you provide regarding any Guests is accurate and complete. We are not liable for any refusal of entry resulting from inaccurate or incomplete information provided by you.
4.10 You are responsible for checking your booking confirmation and/or Tickets (if applicable) on receipt. If you have not received your booking confirmation and/or Tickets (if applicable) 7 days before the Event, or if there is any error, you must contact us without delay using the contact details at clause 2.4.
4.11 Each Ticket will grant to you (or your Guest) a personal right of entry to the Venue to attend and to occupy a space or seat at the relevant ticketed Event.
4.12 Event Attendees may be required to show a valid Ticket and/or booking confirmation (together with valid photographic identification if requested) to gain admission to the Venue and (if relevant) any designated space or seat in the Venue.
5 Event delivery and format
5.1 We may substitute any benefits, services, or hospitality included with your Event attendance or Ticket purchase with alternatives of equivalent value where reasonably required.
5.2 You agree and understand that Event speakers, Venue, format (including whether an Event is in-person, virtual or hybrid), timing, Event programs and other Event details are subject to change ("Event Substitutions"). We will use our reasonable endeavours to provide you with advance notice of any material Event Substitutions.
5.3 Where the relevant Event includes ticketed seating, we will use our reasonable endeavours, where possible, to allocate any seats purchased under a single order adjacent to one another. We cannot guarantee adjacent seats if separate purchases are submitted.
5.4 Events may include content, presentations, or materials provided by sponsors, exhibitors, or third-party speakers. We are not responsible for the accuracy, completeness, or quality of any third-party content. The inclusion of any sponsor or exhibitor at an Event, or the display of any third-party materials, does not constitute our endorsement of that sponsor, exhibitor, or their products or services.
5.5 Any views or opinions expressed by speakers, panellists, or other third parties at an Event are their own and do not necessarily reflect our views or opinions.
5.6 Where an Event is held virtually or in a hybrid format, you are responsible for ensuring that you (and any Guests) have the necessary technical equipment, software, and internet connectivity to access and participate in the Event. We are not responsible for any inability to access or participate in the Event due to technical issues on your end.
5.7 We do not guarantee uninterrupted access to any virtual Event platform and are not liable for any temporary unavailability, technical failures, or interruptions, however caused.
6 Changes, delays and cancellations
6.1 You acknowledge that the Event may be delayed, interrupted, rescheduled or postponed. We will use our reasonable efforts to notify you of any such changes (using the information provided).
6.2 You will not be eligible for a refund if: (a) the Event’s scheduled start time is delayed but not postponed; (b) the Event commences as scheduled but is interrupted after it begins; or (c) the Event is postponed by 12 months or less.
6.3 If the Event is cancelled or postponed by more than 12 months, you will be eligible for a refund of the Ticket price (excluding any booking fees, service charges, or non-refundable third-party costs) or alternatively, you may accept, if offered, replacement Tickets to the postponed Event in which case no refund will be payable. This is your sole remedy in the event of cancellation or postponement.
6.4 If you are entitled to a refund, you must contact us by using the contact details at clause 2.4 no later than 30 days after the day on which we notified you of the Event cancellation or postponement.
6.5 We will process any refunds due under these Terms using the same payment method you used to purchase the Tickets. We will aim to process refunds promptly.
7 Transfer, resale and use of tickets
7.1 Except as set out in clause 7.2, all Tickets are strictly non-transferable and must not be sold or advertised for sale.
7.2 If you purchase more than one Ticket (including as part of a table or half table), the Tickets may only be used by you, your employees, partners or officers, or person(s) invited by you in a personal or business capacity who intend to accompany you to the Event.
7.3 Tickets may not be used for advertising, promotion, auctions, fundraising or marketing purposes (including as prizes in competitions, contests or sweepstakes).
7.4 Any person seeking to use a Ticket obtained in breach of these Terms in order to gain entry to or remain at the Event may be considered to be a trespasser and may be liable to be ejected and liable to legal action.
8 Health and safety
8.1 All Event Attendees must comply with any safety regulations and announcements and directions given from time to time by the staff and security personnel at the Venue.
8.2 You understand that there may be health and safety risks associated with attending any Event. We may require attendees to comply with specific health and safety measures for a specific Event. Any such requirements will be communicated to you in advance of the Event or upon entry to the Venue. However, we cannot be responsible for the behaviour of attendees. You attend the Event at your own risk and are responsible for your (and your Guests’) own safety.
8.3 You understand that we have the right, at our complete discretion, to:
8.3.1 refuse entry to any attendee who we reasonably believe may pose a health or safety risk to themselves or others;
8.3.2 require that any attendee leaves the Event where we reasonably believe that they may not be complying with these Terms or any health and safety guidelines in force.
8.4 If you or any Guest has any accessibility requirements or requires any reasonable adjustments to attend the Event, please notify us as soon as possible and in any event no later than 14 days before the Event. We will use reasonable endeavours to accommodate such requirements, but cannot guarantee that all requests can be fulfilled, particularly where the Event is held at a third-party Venue.
8.5 Where food and/or beverages are provided at an Event, you must notify us of any food allergies, intolerances, or dietary requirements (for yourself and any Guests) no later than 7 days before the Event. We will use reasonable endeavours to accommodate notified requirements, but cannot guarantee that all requests can be fulfilled.
8.6 Where food and beverages are provided at Events, they are prepared by third-party caterers or the Venue. Whilst we will communicate notified allergies and dietary requirements to caterers, we cannot guarantee that food will be free from allergens or cross-contamination. Attendees with severe allergies attend at their own risk and should take appropriate precautions.
8.7 Where alcoholic beverages are made available at an Event, we reserve the right to refuse or cease service of alcohol to any attendee at our discretion. Attendees are expected to consume alcohol responsibly. We (and/or the Venue) may refuse admission to, or remove from the Venue, any attendee whose behaviour appears to be adversely affected by alcohol, without refund.
8.8 Where an Event includes networking sessions, introductions, or similar facilitated interactions, we do not guarantee the quality, outcome, or commercial value of any introductions, connections, or opportunities arising from attendance at the Event. Any decisions made or relationships formed as a result of networking at an Event are entirely at your own risk.
8.9 Where an Event is stated to carry continuing professional development (CPD) or similar accreditation, we do not guarantee that any CPD points or credits will be awarded. You are solely responsible for confirming the accreditation status of any Event with your professional regulator or accrediting body.
9 Liability
YOUR ATTENTION IS PARTICULARLY DRAWN TO THIS CLAUSE.
9.1 Nothing in these Terms limits your or our liability for: (a) death or personal injury caused by negligence or by a deliberate act or omission; (b) breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982; (c) liability for fraud or fraudulent misrepresentation; or (d) any liability that cannot legally be limited.
9.2 Subject to clause 9.1, our maximum aggregate liability to you if you are a Ticket Purchaser under or in relation to these Terms (howsoever arising and including as a result of breach of contract, tort (including negligence) or statutory duty) shall not exceed 100% of the Ticket price paid to us.
9.3 Subject to clause 9.1, we have no liability under or in relation to these Terms (howsoever arising and including as a result of breach of contract, tort (including negligence) or statutory duty):
9.3.1 for any direct or indirect: (a) loss of profits; (b) loss of contracts; (c) loss of business; (d) loss of goodwill; (e) loss or corruption of data; or
9.3.2 for any indirect or consequential loss or damage of whatever nature and howsoever caused, even if we have been advised of the possibility of such damages or losses; or
9.3.3 to any Event Attendees who are not Ticket Purchasers;
9.3.4 for any failure to perform any obligation under these Terms or otherwise to the extent that the failure is caused by Force Majeure.
9.4 All warranties, conditions, terms, undertakings and obligations implied by statute, common law, custom, trade usage, course of dealing or otherwise are hereby excluded to the fullest extent permitted by law, including any condition of satisfactory quality or fitness for a particular purpose.
9.5 We cannot guarantee an uninterrupted and/or uninhibited view of the Event and no representation or warranty is given as to the quality, content or duration of the Event.
10 Your personal data
10.1 We process your personal data in accordance with our privacy policy. Please read the Privacy Policy carefully, as it explains what personal data we collect, how we use it, and your rights in relation to it.
11 Attendee conduct and prohibited items
11.1 While at the Venue you will (and will ensure that any Guest will) behave in a professional and respectful manner and you will not (and will ensure that any Guest does not) engage in any conduct or activity that, in our view or the view of the Venue, creates a dangerous situation, puts at risk an individual’s personal security, is against public order, interferes in any way with the orderly execution of the Event or disrupts the enjoyment of the Event. If you or any Guest acts in such a way, we (and/or the Venue) may refuse admission to or remove you or your Guest from the Venue without refund.
11.2 We are committed to providing a safe, inclusive and respectful environment at all Events. Harassment, bullying, intimidation, or discrimination of any kind (whether based on race, gender, sexual orientation, disability, religion, age, or any other characteristic) will not be tolerated. Any attendee who engages in such conduct may be removed from the Event and refused entry to future Events, without refund. If you experience or witness harassment at an Event, please report it to a member of our staff or contact us using the details at clause 2.4.
11.3 You should take care of any personal property that you may bring with you and in no circumstances should you leave it unattended. We accept no responsibility for any loss or damage to personal property.
11.4 We and each Venue have the exclusive right to determine what objects may or may not be brought into the Venue by you or any Guest. In particular, you shall not (and shall ensure that any Guests do not) bring into the Venue:
11.4.1 weapons, firearms, ammunition, explosives or chemicals;
11.4.2 illegal drugs or substances;
11.4.3 items that could cause damage, injury or disruption;
11.4.4 animals (except assistance dogs with ID where permitted by the Venue); or
11.4.5 any other items we or the Venue consider dangerous or disruptive.
11.5 We and the Venue may confiscate any unauthorised materials or objects. We will not store confiscated items and you have no right to have them returned.
11.6 We and/or the Venue may conduct security searches to ensure safety at the Event.
11.7 If you or your Guest refuses a security search or refuses to comply with rules and security notices published at the Venue, you or your Guest will be required to immediately leave the Venue or be refused access to the Venue without refund.
12 Intellectual property and event recordings
12.1 All intellectual property rights in the Event, including without limitation any presentations, materials, branding, content, and recordings created by or on behalf of us, remain our exclusive property or our licensors’. Nothing in these Terms grants you any rights in such intellectual property.
12.2 Events (including virtual Events) may be photographed, filmed or recorded by us for archival, promotional or other legitimate business purposes. Such recordings may include your image, voice and contributions to the Event. By attending, you acknowledge that such recording may take place and that we may use the resulting materials in connection with our business activities, subject to applicable data protection laws and our Privacy Policy. You shall take reasonable steps to inform your Guests of these arrangements.
12.3 Images, video and sound recordings of the Event taken by you or any Guest ("Your Content") cannot be used for any purpose other than for private, domestic and social purposes and neither you nor any Guest may licence, broadcast or publish video and/or sound recordings, nor exploit images, video and/or sound recordings of the Event, including Your Content, for commercial purposes, nor may they be made available to third parties for commercial purposes. For the avoidance of doubt, you and your Guests may post Your Content on social media networks for non-commercial purposes.
13 Other
13.1 You and your Guests should allow sufficient time before the commencement of the Event to access the Venue. Every effort to admit latecomers will be made at a suitable break in an Event but admission cannot always be guaranteed.
13.2 You agree to indemnify and hold us, our officers, our employees, our agents and the Venue harmless, against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your conduct or the conduct of any Guest at the Event; or (c) any claim by a third party arising from your actions or omissions at the Event.
13.3 If we or the Venue delay or fail to enforce any of these Terms, that does not mean we have waived our right to do so later.
13.4 If any of these Terms and Conditions cannot be enforced for any reason this shall not prevent the remaining provisions from continuing to apply.
13.5 Any person, other than the Venue, not party to these Terms and Conditions shall have no rights under the Contracts (Rights of Third Parties) Act 1999.
13.6 These Terms constitute the entire agreement between the parties and supersede and extinguish all previous agreements, promises, assurances and understandings between them, whether written or oral, relating to its subject matter. Each party acknowledges that in entering into the Terms it does not rely on, and shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in the Terms. Each party agrees that it shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in the Terms.
13.7 If any provision or part-provision of these Terms is or becomes invalid, illegal or unenforceable, it will be deemed deleted, but that will not affect the validity and enforceability of the rest of the Terms.
13.8 These Terms are governed by English law and any disputes are subject to the exclusive jurisdiction of the English courts, except that where an Event is held outside England and Wales, local mandatory laws shall apply to these Terms to the extent they cannot be excluded by contract.
