What are the most significant cases or transactions that your legal team has recently been involved in?

Travelier (formerly known as Bookaway Group) is a travel technology startup that has been involved in many mergers and acquisitions in recent years. This has given our legal team the opportunity to conduct due diligence, negotiate transaction agreements, and ensure compliance with applicable laws and regulations. Although I have only been with the company for a little less than a year, I am responsible for overseeing the post-acquisition obligations of our main acquired subsidiary in Thailand.

Currently, our legal team’s primary focus, particularly in my area of responsibility in Thailand, is on compliance and regulatory issues pertaining to the acquired company in Thailand. As our company serves customers in numerous countries, we are obligated to ensure that our Thai subsidiary complies with the numerous laws and regulations in effect not only in Thailand but in other nations as well.

Specifically, our legal team is responsible for: ensuring that the Thai subsidiary complies with all applicable laws and regulations, including those pertaining to data protection, privacy, and consumer protection; providing guidance to the Thai subsidiary on how to comply with these laws and regulations; monitoring the Thai subsidiary’s compliance with these laws and regulations; and taking appropriate action if the Thai subsidiary fails to comply with these laws and regulations.

Our legal team is committed to ensuring that the Thai subsidiary complies with all applicable laws and regulations. We believe that this is essential to protecting the interests of our customers and our company.

How do you see the general counsel role evolving in Thailand over the next five to ten years?

As an experienced in-house lawyer, I have seen the role of the general counsel evolve significantly over the past 20 years. In the past, general counsel were primarily responsible for providing legal advice to the business. However, in recent years, the role has expanded to include a wider range of responsibilities, such as risk management, compliance, and corporate governance.

I believe that the role of the general counsel will continue to evolve in the next five to ten years. General counsel will need to be more strategic and business-minded in order to help their companies navigate the increasingly complex legal and regulatory landscape. They will also need to be more proactive in managing risk and ensuring compliance.

In addition to these traditional responsibilities, general counsel will be required to participate more in the strategic planning process of the company. They must be able to identify and evaluate legal and regulatory risks that could have an impact on the company’s business, as well as devise strategies to mitigate those risks. Additionally, general counsel will need to be more involved in the corporate governance practices of the company. They will have to ensure that a robust corporate governance framework is in place and is being adhered to.

The evolution of the general counsel role is a reflection of the increasing importance of legal and regulatory compliance in the business world. To be successful, companies need to have a strong legal team that can provide sound legal advice and help them navigate the complex legal and regulatory landscape.
