What are the most significant cases or transactions that your legal team has recently been involved in?

Over the past year, our legal team has supported a number of strategic transactions and operational initiatives central to Trinity Metals’ position as a leader in mining. These include advising on investment structuring and corporate restructuring and financing arrangements and participating in negotiating key commercial agreements with international partners across the minerals value chain.

In parallel, we have played a critical role in strengthening the company’s compliance architecture, including enhancing frameworks aligned with responsible sourcing standards and ESG expectations and business and human rights standards.

We have also supported the business in navigating regulatory approvals and licensing processes, ensuring operational continuity while maintaining full compliance with Rwanda’s robust mining regulations. Collectively, these efforts have reinforced Trinity Metals’ reputation as a responsible and forward-looking operator in a highly scrutinised sector.

 

How do you navigate the legal complexities of cross-border transactions within the East African Community (EAC) and beyond?

Our approach is grounded in a strong understanding of both local regulatory requirements and broader regional integration trends.

We prioritse early legal risk assessments at the structuring stage of cross-border transactions, ensuring that tax, regulatory, and contractual considerations are addressed holistically. Collaboration with trusted external counsel in relevant jurisdictions is key, particularly in complex transactions involving multiple regulatory regimes.

 

In light of increasing regulatory scrutiny across sectors in East Africa, how are you adapting your compliance frameworks to stay ahead of change?

Regulatory scrutiny in the region is intensifying, particularly in sectors such as mining where governance, transparency, and responsible sourcing are under close review. In response, we have taken a proactive and forward-looking approach to compliance.

Our focus has been on embedding compliance into business operations rather than treating it as a standalone function. This includes strengthening internal controls, enhancing training and awareness programs.

We continuously benchmark our frameworks against international best practices, including ESG standards, to ensure that we are not only compliant but also aligned with global expectations. This proactive stance enables us to anticipate regulatory developments and maintain a culture of integrity across the organisation.

 

What strategies has your legal team adopted to mitigate legal and regulatory risks in a rapidly evolving business and political environment?

Risk mitigation is central to our mandate as a legal function. We adopt a multi-layered approach that combines preventive, responsive, and strategic elements.

First, we emphasise early involvement in business decision-making, ensuring that legal considerations are integrated from the outset. Second, we maintain dynamic risk assessment processes that are regularly updated to reflect changes in the regulatory and political landscape.

Third, we prioritise strong governance structures and clear escalation pathways to address emerging risks quickly and effectively. Finally, we foster a culture of ethical conduct and accountability across the organisation, recognising that sustainable risk management depends as much on people and culture as it does on policies and procedures.
