What are the most significant cases or transactions that your legal team has recently been involved in?

Over the past year, our legal and compliance function has been central to Mombak’s growth as a leading carbon removal platform. We supported the fundraising of approximately BR$1.5bn (c. US$300mn) in equity and debt, structuring a complex multi-jurisdictional fund and negotiating with global institutional investors. We also advised on landmark commercial deals, including Microsoft’s first ARR transaction (>1M tons, ~US$140mn), and helped position Mombak as Google’s largest carbon removal supplier. On the operational side, we structured legal frameworks enabling the planting of over 15 million native trees in the Amazon, ensuring regulatory compliance, land security and bankability for large-scale projects. 

 

What new pressures are you facing from the business as expectations for legal to act as a strategic partner continue to grow?

As Mombak scales, the legal function is increasingly expected to operate not only as a risk mitigator but as a core enabler of growth. This is particularly evident in the structuring of carbon offtake agreements, fundraising strategies and project development models, where legal input directly shapes commercial outcomes. The business expects faster turnaround times, greater standardisation of complex transactions and proactive identification of risks before they materialise. In response, we have embedded legal more deeply into cross-functional teams (finance, operations and commercial), developed modular contract frameworks to support scalability, and prioritised clear, decision-oriented advice over purely technical analysis. 

 

What strategies has your legal team adopted to manage disputes and mitigate risks in Brazil’s dynamic business environment?

Our approach is strongly focused on ex-ante risk mitigation, reflecting the long-term nature of our assets and contractual commitments. We invest heavily in structuring robust legal frameworks — particularly around land tenure, carbon rights, and long-term delivery commitments — to minimize ambiguity and reduce the likelihood of disputes. In parallel, we conduct detailed land due diligence, combining traditional legal analysis with proprietary remote sensing tools to identify risks related to title, environmental compliance and land use. Where disputes do arise, we prioritise negotiated outcomes that preserve long-term relationships with counterparties, while maintaining strong documentation to support our position if escalation becomes necessary. 

 

How have economic fluctuations, exchange‑rate volatility or supply‑chain pressures in 2026 influenced your legal priorities?

Macroeconomic volatility and operational uncertainties have reinforced the need for flexibility in our contractual frameworks. In large-scale reforestation projects, factors such as climate variability, seedling availability and logistics in remote areas can directly affect execution timelines. As a result, our team has focused on building greater adaptability into our agreements, particularly around delivery schedules and operational obligations. In seedling supply and project implementation contracts, we have incorporated mechanisms that allow for adjustments to delivery timelines and performance milestones, while preserving overall project integrity and long-term commitments. These include more nuanced force majeure provisions, calibrated grace periods and structured renegotiation triggers tied to objective operational constraints. Our priority is to ensure that contracts remain both enforceable and bankable, while sufficiently flexible to accommodate the inherent uncertainties of our business.
