Clients value Shane for his responsive, efficient, and practical approach to executive compensation. He represents more than 20 public companies with market caps from $30 million to $60 billion, addressing complex compensation issues across industries and tracking best practices as they evolve. This breadth positions him to deliver concise legal analysis and creative alternatives on emerging issues, driving cost-effective solutions in a predictable, transparent manner. Shane handles the full range of executive compensation matters, including equity- and cash-based incentive plans; director compensation; employment and change-in-control agreements; SEC disclosures (proxy statements, Forms 8-K, and Forms 4); compensation policies (stock ownership, anti-hedging, clawbacks, and risk assessments); deferred compensation plans; and tax planning, including the golden parachute rules. He also guides private companies through the compensation “tune-up” phase of the IPO process, manages programs for private equity portfolio companies, and represents management teams in private equity buyouts. A recognized leader, Shane served as partner in charge of Thompson Hine’s Cincinnati office for 10 years and has held top board positions with regional nonprofits.
