Position

Sarah’s practice focuses primarily on international capital markets transactions, with an emphasis on U.S. securities laws and their application to offerings by non-U.S. companies in the UK, Europe, the Middle East, and particularly in the Nordics.

Her work includes equity and debt offerings, rights offerings, and structured finance transactions (including mortgage-backed securities, equity-linked notes, commodities-linked notes, and convertible and exchangeable securities)offerings and debt offerings. Her transactional experience covers a wide range of offerings, including IPOs, rights offerings, accelerated bookbuild offerings, block trades and direct share placements, in the case of ECM transactions, and investment-grade debt offerings, as well as convertible and exchangeable bonds, in the case of DCM transactions. She also advises on regulatory aspects associated with FinTech initiatives, particularly in relation to the treatment of cryptoassets under relevant U.S. and UK securities law.

Career

Sarah joined Cleary Gottlieb in 2004, became counsel in 2013, and became a partner in 2024. She was resident in the firm’s Washington, D.C., office until January 2007.
