Career
João Marcelo is a leading M&A, private equity, corporate law and capital markets lawyer with extensive experience in advising Brazilian and international clients on complex transactions across various sectors. He has acted for key players such as EuroChem/Fertilizantes Heringer, Nippon Steel, Bradesco, the HIG Pátria and Baupost funds, as well as GE, Lyondell Basell, Gulfstream, Bristow Group, IFC, and ST Group. Some of his notable deals include the proposed acquisition of Braskem by Lyondell Basell and then by Apollo; the long corporate dispute, followed by settlement and then sale of stake in Usiminas on behalf of Nippon Steel, with Ternium/Techint on the other side; as deal counsel, the creation of Quod and subsequent admission of the LexisNexis as shareholder with path to control, a credit bureau joint venture owned by the five largest banks in Brazil; the sell-side privatization of CELG-D; the governance restructuring of Banco 24hs (Tecban), a bank consortium comprising the seven largest banks in Brazil; and the project finance for GNA, the largest gas-fired thermal plant in Latin America, representing lenders IFC and KFW Ipex. He also provides expert advice on regulatory and governance issues for publicly-held companies, including tender offers.
