Grace Li is a Principal Associate in the Financial Institutions Group. She advises asset managers, institutional investors and fund sponsors on the formation, launch and restructuring of investment funds, joint ventures and related transactions, including cross border matters involving the UK, Luxembourg, the Channel Islands and the Cayman Islands.

Grace is experienced in structuring unauthorised funds, supporting realisation opportunities, and managing relationships with key service providers. She regularly negotiates the commercial documentation that underpins fund operations and provides regulatory input on fund formation, distribution and ongoing compliance. She is familiar with fund structures used in Luxembourg, Ireland, the US and the Channel Islands. Grace advises on investment management agreements, custody agreements and related documentation and negotiates these on behalf of her clients.

Grace also advises large institutional investors (with a focus on public and private pension schemes) on investments across all major asset classes, including credit, infrastructure, renewables, real estate and private equity. She regularly conducts legal and commercial due diligence and negotiates fund documentation and side letters for such investments, including in respect of unauthorised funds such limited partnerships, REITs and investment trusts.
