Missuly has over 13 years of experience advising national and international clients on complex corporate and transactional matters. Her practice focuses on mergers and acquisitions, project finance, corporate law, commercial law, and regulatory compliance, among others. She is currently part of Arias’ team in Panama as a Senior Associate, providing legal counsel within the Corporate and Finance Department in transactions involving multiple jurisdictions and industries.
Prior to joining the firm, she served as Senior Legal Counsel at a multinational energy company operating under a multinational headquarters license, where she handled cross-border acquisitions and project finance transactions, as well as legal compliance during the development and operational phases of solar and wind energy projects throughout Latin America and the Caribbean.
Previously, she was a Senior Associate at a well-recognized Panamanian law firm, where she gained extensive experience in mergers and acquisitions, participating in all stages of the process: from legal structuring, due diligence, and risk assessment to the negotiation and drafting of key agreements (such as share or asset purchase agreements and shareholder agreements), transaction closing, and post-acquisition integration. She has also advised on project finance, representing both local and international lenders and borrowers in the preparation and negotiation of loan agreements, security agreements, legal opinions, and compliance with conditions precedent. Her experience includes the drafting, review, and negotiation of complex commercial contracts, as well as a solid background in corporate law, providing ongoing counsel on the preparation, amendment, and formalization of corporate documents, resolutions, statutory amendments, powers of attorney, share issuance, amongst others, ensuring compliance with applicable legal frameworks across multiple jurisdictions.
