Zachary is a member of Davis Polk’s Finance practice. He represents private credit funds, alternative lenders and other credit providers in complex finance transactions, including direct, club and syndicated financings, recurring revenue transactions, junior lien and unsecured loans and first-out/last-out unitranche facilities. He has significant experience leading hybrid capital transactions for private credit investors, including holdco and mezzanine debt, subordinated loans, debt-like preferred equity as third-party financing, equity co-investments, warrants and equity kickers.

Zachary has extensive experience representing senior, junior and subordinated credit investors in the negotiation of complex intercreditor arrangements, including intercreditor agreements, agreements among lenders and subordination agreements, and in connection with opportunistic and other special situations transactions, workouts, restructurings, and bankruptcies, including distressed asset financings and investments, purchases and sales of distressed debt, deleveraging exchange transactions, DIP and exit financings and bridge and rescue financings.
