Fernando John Friedmann Junior is a partner at Pinheiro Guimarães, recognized for his expertise in advising domestic and international corporations, financial institutions, and investors on a broad spectrum of capital markets and corporate transactions. He specializes in structuring IPOs, follow-ons, tender offers, debt securities issuances, and corporate and debt restructurings, both in Brazil and internationally. With deep experience in complex transactions—including SPAC deals and bond offerings—Fernando is a trusted advisor in navigating high-stakes capital markets operations. Fernando's expertise extends to guiding companies through the process of registering as publicly traded entities with the Brazilian Securities and Exchange Commission (CVM) and facilitating the listing of shares on the B3 S.A. – Brasil, Bolsa, Balcão (B3) exchange, demonstrating his proficiency in managing regulatory compliance within the Brazilian capital markets landscape. Beyond transactional matters, Fernando offers strategic counsel on regulatory and self-regulatory issues, particularly those overseen by the CVM, B3, and the Brazilian Financial and Capital Markets Association (ANBIMA), playing a critical role in supporting publicly held companies. Fernando has been involved in some of Brazil’s most significant recent transactions, including Sabesp’s privatization through a R$14.7 billion follow-on offering in July 2024, Vale’s R$6.0 billion debenture issuance in October 2024, three debenture issuances by Nova Transportadora do Sudeste (NTS) totaling R$10.7 billion in 2024, and the judicial restructurings (recuperações judiciais) of Americanas S.A., Light Energia, and Samarco.
