Career
David acts for international and domestic corporates, commodity traders, funds and individuals of influence. His client base spans energy and resources, mining services, life sciences and technology. He has held senior roles at top-tier Australian, Hong Kong and UK law firms, and served as general counsel and head of M&A at a Hong Kong investment group where he was responsible for all global public and private M&A, investment activity and equity capital markets.
David advises on the full spectrum of M&A transactions (regulated and unregulated), private equity and equity capital markets across a wide range of sectors. His work includes originating, structuring and executing investments and divestments in multiple jurisdictions, joint ventures, asset transactions and financings. He regularly advises on both IPO and post-IPO M&A for ASX and dual-listed clients.
David advises on high-value, complex transactions across Australia and internationally, with particular depth in M&A, equity capital markets and resources sector work. Recent matters include advising Westgold Resources on its A$2.2 billion merger with Karora Resources, including the successful defence of a competing approach from Ramelius Resources before the Takeover Panel; Kirin Holdings on its A$1.8 billion scheme of arrangement acquisition of Blackmores; and Orezone Gold on its A$75 million ASX IPO, dual listing and US$593 million acquisition of the Casa Berardi gold mine in Quebec.
His resources sector practice extends across complex financing transactions, including advising Core Lithium on its A$300 million multi-instrument Final Investment Decision funding package and Delta Lithium on a A$70 million entitlement offer and spin-off listing of Ballard Mining. Internationally, he advised Linde Group on the unwinding of joint ventures with Air Liquide across Hong Kong, Singapore, Brunei, Thailand, Vietnam and Malaysia.
David's combination of private practice leadership at top-tier firms and buy-side experience in Hong Kong gives him a transactional perspective that spans both sides of the table. His Asia-Pacific network and cross-border execution capability are reflected in his work across Australian, European, Canadian, Hong Kong and US markets. Clients describe his solutions-oriented approach and ability to work seamlessly across jurisdictions with multiple advisers as setting him apart.
David is admitted to the Senior Courts of England and Wales, in addition to the High Court of Hong Kong
