Mr. Hou Jialei's primary practice areas are corporate securities, mergers and acquisitions, and private equity financing. He has led and participated in numerous projects involving enterprise restructuring, domestic initial public offerings and listings, M&A and restructuring of listed companies, refinancing (including share issuances to specific targets and convertible bonds), and the establishment and investment of private equity investment funds, possessing extensive experience in securities legal services. In addition, Mr. Hou serves as standing legal counsel to multiple companies, providing legal advisory services on corporate governance, information disclosure, and various legal matters arising in day-to-day business operations.

In the area of domestic enterprise listings, he has provided legal services for companies including Xinxing Equipment (002933.SZ), Xinleineng (300593.SZ), Xinguang Optoelectronics (688011.SH), Guangxia Huanneng (873703.BJ), New Pearl Group Co., Ltd., Tianyienhua (873437), Offei Electric (831564), Xinerte (831724), Hualai Technology (874118), and Guangxi Yangxiang Co., Ltd., among others, in connection with their initial public offerings and listings.

In the area of listed company restructuring and refinancing, he has provided legal services for projects including the private placement of Muyuan Co., Ltd. (002714.SZ), the mixed-ownership reform and share issuance for the acquisition of Weisidun for Dongfang Electronics (000682.SZ), the cash acquisition of Yongli Technology for Xinleineng (300593.SZ), the private placement of preferred shares for Oriental Landscape (002310.SZ), and the share issuance to specific targets for Huaxiang Shares (603112.SH).

In the area of NEEQ listings and trading, he has provided legal services for companies including Hualai Technology (874118), Lewei Pharmaceutical (838853), Zhongsheng Fangzheng (837093), and Zhengchen Technology (836472) in connection with their NEEQ listings and public transfers, as well as refinancing projects for listed companies.

In the area of private equity fund (PE/VC) investment and financing, he has provided legal services including structuring investments, due diligence, project negotiation, drafting and implementing transaction documents, and providing legal opinions on related issues for the establishment of investment funds by Galileo Capital, and for well-known investment institutions including SDIC Investment and China Merchants Capital.

In the area of day-to-day corporate legal services, he serves as standing legal counsel to multiple listed and unlisted companies, providing legal advisory services on various matters arising in day-to-day business operations.
