Mr. Deng Zhenhua has extensive practical legal experience, primarily practising in real estate, corporate investment and financing, corporate bond issuance, mergers and acquisitions, restructuring, state-owned assets, and dispute resolution. Mr. Deng's work on the Bangladesh Dhaka Expressway PPP Agreement Project was recognised with the "2021 Annual Outstanding Transaction Award" by China Business Law Journal. He previously worked for a real estate company under R&F Properties, a Hong Kong-listed enterprise, during which he accumulated substantial experience in both non-contentious and contentious real estate matters. After joining the law firm, he has provided extensive legal opinions to numerous large state-owned enterprises, foreign-invested enterprises, and private companies, including the China Academy of Space Technology, Sino-Ocean Group, Swire Properties, Dingfeng Fund, Jinmao Group, and Zhongcaijing Group, covering corporate investment, mergers and acquisitions, restructuring, enterprise reorganisation, and daily operations.

Significant real estate projects he has participated in or handled include:

• Sino-Ocean Group's acquisition of a large residential project in Miyun, Beijing;

• Sino-Ocean Group's acquisition of a large residential project in Binhai New Area, Tianjin;

• Sino-Ocean Group's investment in an industrial land project in Fengtai Science Park, Beijing;

• The transfer of a commercial-apartment development project under construction in Tongzhou District between Xinyue Real Estate and Vanke;

• The cooperative development project between Sino-Ocean Group and Chengdu Langji for a large residential plot in Chongqing;

• The development and construction of Zhongwang Tower by a subsidiary of Zhongwang Real Estate;

• Chengdu Qianhao Real Estate's external sale of the Chengdu Renhe Yizihao Tower project;

• The investment and development of a shantytown redevelopment project by Langfang Guangyang District Jiuhui Real Estate Company;

• The investment and development of a new town real estate project by Zhengzhou Zhongyao Real Estate Company.

• CPIC Asset Management's "CPIC-Kunming Lenovo Technology City" debt project;

• Taikang Asset Management's "Taikang-Chongqing Yuruneng" debt project;

• Ping An Jianjun (Group) Co., Ltd.'s investment in a leasing company project;

• Pacific Asset Management's "Pacific-Kunming Lenovo Technology City" debt investment project.

Major foreign investment projects he has participated in or handled include:

• Datang Telecom's approximately USD 200 million merger and acquisition project with Germany's NXP Semiconductors;

• Hebei Construction & Investment Group and Goldwind's acquisition of a wind farm project in Australia;

• Swire Properties and CITIC Real Estate's residential cooperative development project at Dalian Port;

• Swire Properties and Shanghai Lujiazui Group's residential cooperative development project;

• The Bangladesh Dhaka Expressway PPP Agreement, EPC Agreement, and USD 300 million syndicated loan financing project.

Major litigation and arbitration cases he has participated in include:

• Design contract dispute between Yintai Real Estate and a UK design firm for a mixed-use development project;

• Dispute over a commercial residential sales contract with a subject amount of RMB 2.1 billion for Chengdu Sino-Ocean Taikoo Li;

• Dispute over school sponsor share investment between Linghang Future Education Technology Co., Ltd. and an individual;

• Enforcement case involving equity investment contract disputes among Beijing Zhongshang Rongsheng Trading Co., Ltd., Bank of Ningbo, and Tianzuo Mining Group;

• Equity investment contract guarantee dispute between Rongyu Group and Jinhailai Fund (subject amount of RMB 450 million);

• Deposit agreement dispute of RMB 16.6 billion between Hua'an Property & Casualty Insurance Asset Management Company and Bank of Jinzhou.

Private equity fund-related projects he has participated in or handled include:

• Yuanyang Fund's approximately RMB 1.6 billion equity and debt investment project in two residential plots in Miyun;

• Yuanyang Fund's approximately RMB 1 billion equity and debt investment project in an office project in Lize Business District;

• Preparing and issuing special legal opinions for the registration of over 110 private equity funds with the Asset Management Association of China;

• Commercial arbitration of equity transfer contract dispute for Shenzhen Taizhongheying Investment Management Centre (Limited Partnership);

• Special legal services for Taizhonghe Fund from 2019 to 2021.
