Advising banks and financial institutions in Hong Kong, Macau and PRC on bilateral and syndicated loan projects and cross-border security packages Acting for PRC and foreign banks as their Hong Kong legal counsel on financing transactions involving Hong Kong entities and security Answering legal due diligence questions for banks in loan approval stage, including preliminary advice on legal viability of loan and security structure and relevant red-flagging issues Advising banks on sale and purchase of loans on secondary loan market Setting and reviewing bilingual standard form documentation of banks Reviewing international cooperation and trade agreements between banks and financial institutions, including custody agreements, risk participation agreements, ISDA, master participation agreement for trade transactions, overseas refinancing arrangements, etc.

Compliance and Regulatory

Advising banks on banking compliance and regulatory matters relating to the Banking Ordinance, circulars, guidelines and supervisory policy manuals issued by the Hong Kong Monetary Authority, etc. Advising PRC and foreign banks taking security interest over listed shares on the disclosure of interest regime under Part XV of the Securities and Futures Ordinance
