Jack is an experienced corporate and commercial partner with a particular focus on SMEs and owner managed businesses.

His areas of specialist practice include the sale and purchase of businesses (share and asset purchase agreements), drafting of shareholder agreements and articles of association, succession planning, incentivisation of employees, corporate governance, investment and fundraising and commercial contracts.

Jack often finds himself on the other side of the negotiating table with many of the UK’s leading top 50 law firms. His clients regard him as a trusted business advisor, often seeking his advice on day-to-day issues where the input of a senior legal counsel is required.

Jack joined Phillips as a partner in 2018, having previously practiced at leading US law firm White & Case and international law firm Clyde & Co.

In 2022, Jack won Lawyer of the Year at the Hampshire Law Society Awards.

Recent work highlights include advising:

Bill Kenwright Limited on the acquisition of The Other Palace Theatre from the Really Useful Theatre Group owned by Andrew Lloyd Webber who were represented by Harbottle and Lewis. The acquisition had complicated group debt elements which were to be settled as part of the transaction; A pharmaceutical company on their acquisition of stock, property and licences for over £10 million from three different entities including one in administration over the space of four days. This involved negotiations with Gateley plc and Hill Dickinson; Savona Foodservice on the acquisition of assets from Essex Flour Grain Company Limited; and A real estate finance company on the provision of a debt facility through a Luxembourg LLP in order to assist with the financing of a large commercial building in the City of London. This required the negotiation of the LLP Agreement to ensure the relevant rates of return for our client were correct as well as reviewing the superior debt documents to ensure that our client had adequate protection.
