Helin Güler’s practice primarily focuses on mergers and acquisitions, financing transactions, and matters of commercial and corporate law.

Helin also advises a wide range of companies on their day-to-day operations and managerial processes, with particular experience in corporate governance, as well as the drafting and negotiation of diverse commercial contracts.

PROJECTS

Mergers and Acquisitions: Helin has advised both buyers and sellers in share transfer and merger transactions involving publicly held and privately held companies. Throughout these processes, Helin has played an active role in conducting legal due diligence, preparing and negotiating transaction documents, filing applications before the Competition Authority, and supporting the completion of closings.

Project Finance: Helin has provided legal support to both lenders and borrowers in energy project finance, acquisition finance, and financial restructuring transactions. She has managed legal due diligence processes and gained experience in preparing board resolutions, security structures, and related security documents, as well as in satisfying transaction conditions precedent. Helin has also taken part in the financial closing processes of numerous transactions within this scope.

Other:  Helin has played an active role in the corporate governance processes of companies, providing support in the preparation of articles of association amendments, internal directives and signature circulars, the drafting of board of directors and general assembly documentation, the organization of the relevant meetings, and the completion of related registration procedures.

In addition, Helin has been involved in the preparation and negotiation of various commercial contracts, including supply, service, purchase–sale and confidentiality agreements. She has also provided legal advice to companies on regulatory compliance matters, real estate law, commercial law and corporate law.
