Emirhan Özdinçer works on project finance, mergers and acquisitions, capital market law and competition law. Emirhan also provides consultancy services to companies regarding their corporate governance processes.
PROJECTS
Finance: Emirhan has represented both lenders and borrowers within the scope of energy financing, acquisition financing financial restructuring and refinancing transactions. In addition, he has drafted loan and security agreements, negotiated relevant transaction documents, and managed the closing procedures of such transactions.
Capital Markets Law: He has represented issuers in various secondary public offering transactions and has also conducted application processes for the transition to the registered capital system for privately held companies preparing for initial public offerings and drafted the relevant legal documentation.
Mergers and Acquisitions: Emirhan has represented both buyer and seller parties in the merger and acquisition transactions of both public and non-public companies’ shares. During the acquisition he has taken an active role in drafting and negotiating transaction documents, including share purchase agreements (SPA), managing Competition Board filings, and finalizing closing processes.
Other: Emirhan took part in corporate governance processes of companies such as amending the articles of association, preparation of internal directives, preparation of board of directors and general assembly meeting documentation and executing registration procedures. Emirhan also provided legal support to companies in the preparation and negotiation of service and sales contracts, as well as various matters of commercial law, capital markets law and corporate law.
