RAK ICC (Ras Al Khaimah International Corporate Centre)

RAK ICC is an offshore company registry offering International Business Companies, commonly used as holding structures for international assets, shareholdings in other companies, and intellectual property. RAK ICC entities are cost-effective to establish and maintain, do not require physical office space in the UAE, and offer full foreign ownership with no local shareholder requirement.

RAK ICC is generally the preferred choice for straightforward holding company structures, such as holding shares in an operating business, real estate, or investment portfolios, where the primary goal is efficient, low-cost asset segregation rather than a formal succession or foundation-style structure.

ADGM SPV (Abu Dhabi Global Market Special Purpose Vehicle)

An ADGM SPV is a special purpose holding vehicle established under Abu Dhabi Global Market’s common law framework, widely used for structuring specific transactions, holding single assets (such as one piece of real estate or one shareholding), and facilitating cross-border investment structures. ADGM’s common law basis and strong regulatory reputation make it a preferred choice for investors whose international counterparts, banks, or co-investors expect a common law structure they recognise.

ADGM SPVs are often used where an investment needs to be ring-fenced from other assets or liabilities, such as structuring a single real estate acquisition or a joint venture holding, distinct from broader group structures.
