- Legal assistance in the transformation of International Green Services SARL into a simplified joint stock company (change of name, capital increase by incorporation of receivables on the partners' current account, transformation into SAS, transfer of shares to investors). Assistance of the company within the framework of the raising of funds from several investors within the frame of and increase of the capital of the company by issue of new shares.
- Grooming of governance, organization of meetings to take collective decisions on issues concerning the day to day running of the company (creation of the board of directors, appointment of directors and renewal of their mandates, appointment of auditors, approval of accounts, transmission of shares or corporate units of a shareholder/partner to his estate, dematerialization of securities, authorization of the constitution of guarantees to the benefit of a third company, authorization of credit financing modification of the articles of association etc.). Assistance the Company in the structuring of a loan of 24 billion FCFA including 15 billion FCFA with International financial institution, and 9 billion with local financial institutions. Reviews of the credit agreement, review of security contracts (mortgages, mortgage bonds, first demand guarantees etc.), meeting of conditions precedent to disbursement.
- Regularization and compliance of the company's governance according to the COSUMAF regulations.
- Legal assistance in the structuring of the fund raising contemplated by the company through a joint venture with the investor followed by a current account advances of said investor. Review of facility agreements and issue of sukuk notes.
- Legal assistance to the estate in the selling of its shares with the local bank.
- Our intervention in this case relates globally to: - assistance to a mining company on corporate law issues, in particular structural and managerial compliance with OHADA legislation and with the sectoral mining regulations in Cameroon; - Assistance to the said company in the preparation of operations and transactions on mining titles; - Preparation of the necessary documents for the implementation of structural changes in governance and shareholding; - Coordination and follow-up with the State of Cameroon; - Negotiation and review of agreements between the company and external service providers and partners supporting Cameroon; - Legal consultations and advice on mining title transactions; -Taking the legal secretariat during the general assemblies, etc.
