Mohamed Alnafea is a Partner at Khalid Nassar & Partners, specialising in investment funds, real estate, and capital markets. He has extensive experience advising fund managers, sponsors, and developers on the structuring, establishment, and regulatory management of private investment funds, including CMA-regulated vehicles and Shariah-compliant structures.

His practice focuses on high-value and complex mandates, including large-scale urban redevelopment projects, strategic land acquisitions, and the structuring of investment platforms aligned with Saudi Arabia’s evolving regulatory landscape. He advises clients across the full lifecycle of transactions, from initial structuring and regulatory approvals to asset acquisition, development arrangements, and ongoing governance matters.

Mohamed is particularly recognised for his ability to combine technical regulatory knowledge with commercially driven structuring, enabling clients to execute large-scale projects efficiently while maintaining full regulatory compliance.

Key Experience

• Advised on the formation and structuring of one of the Kingdom’s largest private real estate investment funds, with a capital value exceeding SAR 11 billion, supporting large-scale urban redevelopment initiatives.
• Acted as lead counsel on the strategic restructuring of a multi-billion-riyal private real estate fund, with a focus on governance optimisation and amendment of core fund documentation.
• Advised on the establishment and structuring of specialised private investment funds dedicated to the acquisition and development of education-related assets.
• Represented a private real estate fund in the acquisition of a premium residential compound in Riyadh valued at approximately SAR 1.8 billion.
• Led the legal establishment of a CMA-regulated REIT and advised on the acquisition of multiple income-generating assets across Riyadh and Jeddah.
• Advised on the strategic acquisition of large-scale land assets exceeding several million square metres, including structuring and regulatory alignment for major development projects.
• Structured multiple private investment funds across sectors, including logistics and mixed-use developments, with a combined value exceeding SAR 950 million.
• Advised on REIT capital increases and new unit offerings, including associated regulatory filings and compliance with CMA requirements.
