Aya Lotfy is the Head of the Corporate and Commercial Department at Mohamed Nasser & Partners Law Firm, where she leads the firm’s corporate practice with a strong focus and a multidisciplinary team advising local and international clients and entities on a wide range of corporate, commercial, and regulatory framework and market dynamics in Egypt, KSA, UAE and multiple jurisdictions.

With extensive experience in corporate structuring, mergers and acquisitions, joint ventures, foreign direct investment, and corporate governance, liquidation and dissolution, employment and taxation; Ms. Aya provides strategic legal guidance tailored to the evolving regulatory landscape. She regularly advises on company formation, shareholder arrangements, commercial contracts, compliance frameworks, and cross-border transactions.

Ms. Lotfy has represented multinational corporations, regional investors, and leading Egyptian enterprises across diverse sectors, including energy, real estate, manufacturing, medical, pharmaceuticals, oil & gas, constructions and development, technology, and consumer goods. Her practice combines strong technical expertise with a pragmatic, business-oriented approach, enabling clients to manage risk while achieving their commercial objectives efficiently; through her practical approach and strong relationships with regulatory bodies, Ms. Aya supports clients in mitigating regulatory risk and expediting governmental processes. Her deep understanding of local administrative practices enables her to provide strategic guidance that is both legally sound and commercially effective within the targeted market.

As Department Head, she oversees complex transactions from inception to closing, coordinates with regulatory authorities, and ensures that clients remain compliant with the applicable laws, regulations and decrees. She is recognized for her attention to detail, negotiation skills, and ability to deliver practical solutions in high stakes matters.
