Senior Associate, Corporate and Commercial Practice

Melissa Medina is a Senior Associate in the Corporate and Commercial practice group at Estrella LLC. She advises both public and private sector clients on a broad range of corporate matters. She brings significant experience in the banking industry, particularly with credit unions on board governance, NCUA regulations, risk management and compliance.

With specialized knowledge in cooperative banking laws and board regulations in Puerto Rico, Melissa is a trusted advisor on NCUA compliance. Before joining Estrella, she served as an advisor to the Board of Directors for a federal credit union, where she was responsible for governance and regulatory compliance. Her responsibilities included attending board meetings to ensure legal and regulatory compliance, overseeing board elections and annual meetings, drafting and reviewing contracts, amending bylaws, and working with local regulators to ensure that new business ventures met legal standards. She also advised on the review of estate documents and powers of attorney to mitigate the financial institution’s risk.

In addition to her banking experience, Melissa has worked with holding companies, management companies, non-profits, administrative agencies, healthcare providers, and special education entities.

Melissa also has substantial experience in franchise law, assisting clients with franchise and lease agreements, disclosure requirements, and compliance with FTC regulations.

Her practice focuses on business law, including contracts and agreements, corporate governance, regulatory compliance, judicial claims, intellectual property, and trademarks.
