Shramona is a Principal Associate at Ahlawat & Associates, with extensive experience in corporate and commercial law, and transactional advisory. She regularly advises on complex, high-value transactions, with a primary focus on private equity investments, venture capital funding, and mergers and acquisitions (both domestic and cross-border).

Her practice is centered around structuring, negotiating, and executing transactions, where she works closely with founders, investors, and management teams to deliver commercially sound and legally robust solutions. She has significant experience in drafting and negotiating transaction documentation, including term sheets, share subscription and shareholders’ agreements, business transfer agreements, asset purchase agreements, share purchase agreements and ancillary documents, while also advising on transaction structuring, regulatory considerations, and risk allocation.

In addition to her transactional practice, Shramona advises clients on a wide range of general corporate and commercial matters, including corporate governance, business structuring, and ongoing compliance. She also has considerable experience in labour and employment advisory, assisting clients with workforce structuring, employment documentation, and sensitive separation-related matters.

Shramona has worked with a diverse client base comprising private companies, startups, multinational corporations, and government entities, across sectors such as sports and gaming, manufacturing, health, defence, IT/ITES, and education. Her sector-agnostic approach enables her to navigate industry-specific nuances while maintaining a strong commercial focus.

She also brings prior experience in project financing transactions involving multilateral stakeholders, including government bodies and private participants. Further, she has advised on corporate social responsibility initiatives undertaken by government organisations, working closely with leading conglomerates in India.
