Hasan Rizvi is a Partner at our UAE office. Prior to joining Meysan,  Mr. Rizvi served as Partner and Head of Finance and Investment  Funds at leading international law firms. He is widely recognized in  the UAE’s legal and business community, with a practice focused  on corporate law, corporate finance, commercial transactions, and  dispute resolution. With over 27 years of experience, Mr. Rizvi has  advised on numerous high-profile transactions across the MENASA  region. Hassan represents a broad client base, ranging from  established multinational corporations to emerging businesses. His  practice includes advising private equity and venture capital firms,  asset managers, investment funds, technology companies,  sovereign wealth funds, state-owned enterprises, and family offices.  He has significant experience in M&A transactions, project  development and finance, capital markets (equity and debt),  corporate restructuring, and dispute resolution. He also provides  strategic advisory services to high-net-worth individuals and  families regarding private investments and holding structures.

KEY REPRESENTATIONS:

Advised a DIFC-based fund management company on establishing multiple sector-focused investment funds, including Exempt Funds and QIFs. Advised a major Chinese financial institution on legal due diligence of joint venture entities in the UAE. Advised a prominent Saudi Arabian business group on its joint venture agreement and technology license agreement with a Chinese industrial group. Advised a leading logistics group on corporate restructuring and initial public offering (IPO) on the Dubai Financial Market. Advised a major industrial group on a USD 400 million financial restructuring and incorporation of a group holding structure in the DIFC. Advised an investment advisory firm on forming an investment holding structure in the DIFC, including shareholders’ arrangements and acquisition of a food and beverage sector  business in Saudi Arabia. Advised several global fund managers and sponsors on the marketing of financial products in the UAE, ensuring compliance with Securities and Commodities Authority,  DIFC/DFSA, and ADGM/FSRA regulations. Advised a leading GCC business group on establishing an asset management and fund management regulated entity in the DIFC. Advised a regional family business group on ongoing corporate and commercial matters, including employment, contracts, and a construction project. Advised a UAE-based joint venture project company on a major transnational gas pipeline project spanning Central Asia and South Asia. Advised an investment firm on multiple investments and acquisitions across the GCC, Far East, and Africa, including the incorporation of various offshore funds and establishment of a  DIFC-regulated entity.
