Career
Imane Raouf is a Partner in the firm’s Corporate & Capital Market Department. She specializes in several fields of law, on which she gives day-to-day advice, including Capital Market Law, Companies Law, Consumer Finance, Civil Law, Competition Law and Labour Law.
Ms. Raouf conducted various due diligence reviews on companies of diverse sectors and participated in the drafting of the relevant transaction documents, mainly the contracts necessary in the securitization transactions such as the Information Memorandum and the relevant related documents, as well as M&A transactions documentation such as Share Purchase Agreements, Shareholders Agreements and Escrow Agreements, along with the transactional documents in relation thereto. She has also been involved in major IPO’s and private placements, which includes drafting the relevant sections of the International Prospectus or Offering Memorandum and review of underwriting agreements and/or any other agreements necessary for the IPO.
Ms. Raouf was part of the team which advised on the following: (i) The New Urban Communities Authority’s securitized bond issuance with a value of EGP 10 billion (ii) Tag El Melouk in connection with selling 100% of its shares to Dr. Oetker; (iii) Danone with the acquisition of Halayeb S.A.E. (iv) Domty’s Initial Public Offering “IPO”. (v) Canada-based Valeant Pharmaceuticals International, Inc. with the acquisition of Amoun Pharmaceutical S.A.E. Transaction Value: USD 800 million (vi) Infinity 50 for Renewable Energy with the financing of a 50MW solar power plant, under the Feed-in Tariff programme (Round 1); and (vii) Shapoorji Pallonji Energy Egypt S.A.E. with the design, construction, operation, and maintenance of a turnkey solar PV project with a nominal capacity of 50 MW, located in Benban, Egypt. Previously, she worked for top-tier Law firms, in Corporate, M&A and Capital Market departments for more than five years. Imane has also worked for two years at the Egyptian Competition Authority; therefore, she is specialized in all competition matters.
