Ms. Mutlu Ozturk Yurdakul is a corporate lawyer with a focus on corporate and commercial law as well as mining law and CMR and rendering legal consultancy services to both international and national clients as well as multinational clients and representing them in their local and cross-border transactions. She is specialized in international business transactions and international commercial contracts, M&A transactions, joint ventures, distributorship agreements, franchise agreements, facility agreements and share purchase agreements. She has also been involved in a wide variety of complex cross-border M&A transactions, strategic partnerships, joint ventures, financing and restructuring projects and the establishment of new companies and businesses covering a broad spectrum of industries including retail apparel, textiles, automotive, tourism, chemicals and pharmaceuticals, logistics, and energy.
Her main focus is providing legal consultancy to companies on all sorts of legal issues, advising on the merits of Turkish Law to high profile international corporate clients, identifying, minimizing and reporting the legal risks in the respective areas of corporate environment, negotiating, drafting, reviewing and executing various legal documents, conducting legal research and draft reports, opinions, memos, correspondence and other documents, following up legislations and conducting all procedures before relevant authorities, conducting daily corporate work and advising foreign corporate clients as well as locals.
Her recent work includes leading the acquisition processes, including but not limited to due diligence processes, negotiation of relevant shareholders’ and share purchase agreements, as well as review of the option agreements and finalize General Assembly Meetings Package, of a private school chain, of a major energy company group in the Aegean Region of Turkey by an undisclosed electricity distribution and retail sale company, the leading Hydropower Plant company in Turkey.
