Mathieu Laurent is a Partner of the Corporate/M&A practice and heads the Dispute Resolution practice at Luther's Luxembourg office. Mathieu focuses on private equity transactions, real estate transactions, and corporate acquisitions. He has extensive experience in advising on the structuring of unregulated funds, the performance of corporate due diligence, the negotiation of share purchase agreements, shareholders' agreements, financing agreements (bank facilities, intra-group loans, issuance of bonds, hybrid instruments), security documents, and guarantees. He also specializes in shareholders' disputes, corporate insolvency, group refinancing and restructuring, and IP structures.

Robert Goerend is a Partner and a member of the Corporate/M&A and Dispute Resolution practices at Luther’s Luxembourg office. He provides comprehensive legal counsel on corporate financing, private equity transactions, and mergers & acquisitions. Robert regularly provides strategic guidance in special situations, including corporate restructurings and insolvencies. Robert has extensive expertise in handling corporate and commercial litigations with a focus on shareholder litigation and highstakes matters involving regulated entities, such as banks and fund structures.

Deals

  • Advising a major Luxembourg private debt investment fund on its litigation against its Italian debtor,  which had been granted several loans for an amount of 55 million euros, on the cross-border litigation strategy and issuance of legal opinions to the attention of the Italian courts.
  • Advising a Swiss private equity fund on a credit and claim restructuring for a portfolio company in order to avoid insolvency issues at the time of the credit recovery before the Luxembourg courts.
  • Advising a holding company in the restructuring of its articles of association in relation to a dispute with one of its shareholders.
  • Advising two companies in children's day care sector in France and Germany, both shareholders in a joint-venture company, in the context of a dispute with another shareholder (employment contract terminated due to gross misconduct).
  • Advising the co-founder of a major wealth management company in Luxembourg on his litigation with the majority shareholder and co-founder of the firm, to impose the acquisition of his shares in the company due to a disagreement on the management structure and his retirement.
  • Advising on a regular and ongoing basis the fund center, a leading corporate services provider, on its corporate litigation matters, including directors' liabilities issues, shareholders' disputes, insolvency matters, forced disclosure of confidential information, compliance matters, data protection and professional secrecy rules.
