Career
Tommaso Ubertazzi has been consistently ranked as a leading individual in the practice area of restructuring and insolvency by Legal500. He serves as a general counsel to several multinational group companies, providing them with day-to-day legal assistance as well as strategic legal advice at the board level. In fact, he is regularly called to participate in the shareholders’ and directors’ meetings of his client companies.
His role as a trusted advisor is so valued by clients that they have appointed him to key positions within their organisations. In particular, he serves on the board of directors of Gessi S.p.A and Elmec S.p.A, both of which are considered market leaders in their respective sectors. Furthermore, he also serves as a trustee for two major holding companies.
Clients and colleagues alike have appreciated his hands-on approach to all mandates. Clients particularly value his direct involvement and accessibility, which ensures continuity of expertise and immediate senior-level guidance throughout their most important business decisions.
Over recent years, Tommaso has led extraordinary transactions with a combined value exceeding €8 billion. In this year alone, he is serving as a lead advisor to a major company with a €4 billion portfolio, managing all post-seizure legal activities following the Guardia di Finanza’s seizure of €50 million in company shares. This includes guiding the company on necessary restructuring. Furthermore, he closed critical deals for this company, totalling €134 million (two separate transactions of €63 million and €71 million respectively). Furthermore, he led the transfer of the majority shareholdings for two companies, each with an annual turnover of €300 million.
Beyond these major transactions, Tommaso provides ongoing day-to-day legal counsel to corporate groups with combined annual turnover exceeding €1.5 billion, regularly participating in board meetings and strategic decision-making processes. His expertise includes leading one of Italy’s largest directors’ liability lawsuits in recent years, with an approximate value of €1 billion.
Furthermore, he has also achieved significant results for clients in international arbitration this last year, including successfully securing a €60 million award in one case while successfully defending against a €30 million claim in another.
Throughout his career, Tommaso Ubertazzi has handled over 45 M&A and corporate reorganisation transactions, 50 debt restructuring operations, 40 directors’ liability actions, and provided representation in over 50 tax disputes concerning tax inversion, VAT payments and transfer pricing. He has also assisted clients with contracts (drafting and negotiation) with foreign entities, such as those from Luxembourg, Poland, France, Germany, Spain, Serbia, Macedonia, UK, USA, Russia, Qatar, UAE, St Maarten, Chile, Tunisia, Egypt, Mozambique, Gabon, Congo, India, Singapore and China. He also represented clients before foreign courts, including Luxembourg, Frankfurt, Paris, and Madrid, working alongside local counsel.
Tommaso Ubertazzi is also a university-level professor and prolific academic author, having published six books and numerous articles on private law and corporate restructuring.

Tommaso is a dedicated marathon runner and a Six Star Finisher, having completed all six Abbott World Marathon Majors. Among these, his finishing times include Boston 2026 (3:02:52) Tokyo 2025 (3:07:40), and New York 2025 (3:09:33).
