Bär & Karrer Advises Advent on Public Tender Offer for u-blox Holding AG

On 17 August 2025, ZI Zenith S.à r.l., a European indirect subsidiary of funds managed and/or advised by Advent International, L.P., a leading global private equity investor, published the pre-announcement of a public tender offer to acquire all publicly held shares of u-blox Holding AG, a global provider of leading positioning and short-range communication technologies and services, for a cash consideration of CHF 135.00 per share. The offer price represents a 32.4% premium to the (undistorted) Volume-Weighted Average Price (VWAP) of the last 60 trading days until 14 August 2025, resulting in a valuation of u-blox's equity, on a fully diluted basis, of approximately CHF 1,050 million. The board of directors of u-blox unanimously recommends its shareholders to accept the public tender offer, and u-blox's largest shareholders as well as its board of directors and management team have committed to tender all of their shares.
