At Allen & Overy LLP, Duc Tran (who has 'very good local expertise') and senior associate Tina LeDinh, together with the firm's Singapore office, advised Citigroup, Credit Suisse and Saigon Securities as joint managers on Vincom Retail's equity offering and listing on HOSE. The pair also advised the same trio of investment banks plus Deutsche Bank and Morgan Stanley on Vinhomes' equity offering and listing. In the debt capital markets space, Adam Moncrieff and senior associate Quy Nguyen advised CGIF - a part of the Asian Development Bank – on the guarantee of Mobile World's VND1.14tn bond issuance. Other clients include UBS, which Tran and LeDinh assisted as adviser to SCIC on an auction sale of a 3.33% stake in Vinamilk.

Baker McKenzie's team, which provides 'highly efficient and appropriate advice', handles significant ECM issuer-side work. Oanh Nguyen advised VPBank on its IPO on HOSE, which set the bank's value at VND52tn, and also assisted HDBank with its flotation, which listed over 980 million shares at a proposed price of VND33,000 a piece. Public M&A, including contemplated take-private deals, is another area of expertise - principal Yee Chung Seck is a name of note in this area. The aforementioned lawyers are based in Ho Chi Minh City, while special counsel Linh Chi Dang is a key contact in Hanoi.

In VILAF's Hanoi office, Nguyen Quang Hung advised Standard Chartered on Mobile World's VND1.1tn bond issuance guaranteed by the Credit Guarantee and Investment Facility, and also assisted Techcombank Securities with numerous corporate bond offering arranger roles. Dang Duong Anh advised Simpson Thacher & Bartlett LLP in Hong Kong on the impact of Foxconn Interconnect Technology's Hong Kong IPO on its Vietnamese subsidiaries. Tran Tuan Phong assisted Vingroup with the sale of $198m of shares via the Ho Chi Minh City Stock Exchange, which were offered to qualified institutional US buyers via Rule 144A. In Ho Chi Minh City, Vo Ha Duyen advised Credit Suisse on Novaland's plan to list $160m of convertible bonds on the Singapore Stock Exchange. Shinhan Securities is another client.

YKVN handles major debt and equity matters for Vietnamese issuers and investment banks, often acting in conjunction with major international firms. Truong Nhat Quang, counsel Nguyen Nam Hung and Singapore-based counsel Pham Minh Thang, together with Latham & Watkins LLP, which handled the US law issues, advised Techcombank on its flotation (styled as an "initial equity offering" rather than a traditional IPO as it was reserved for institutional investors), which raised VND21bn. Quang, alongside senior associates Pham Thi Hai Ly, Ho Thi Anh Tuyet and Nguyen Van Hai, who was a new arrival from Mayer Brown JSM, advised Novaland on its $160m issuance of convertible bonds in Singapore, the first such Vietnam-related deal to run in parallel with an equity placement. Vinpearl is a client, as is GIC, which Quang advises along with K. Minh Dang, who is based in Singapore. Other work includes Vu Dzung advising Mobile World on a local VND1.15tn bond issuance. The team is based in Ho Chi Minh City except where otherwise stated.

Frasers Law Company handles work concerning contemplated IPOs in the technology and FMCG sectors, including cross-border transactions ending in Hong Kong listings. Mark Fraser, Justin Gisz and senior associate Ho Thuy Ngoc Tram are the key contacts. Public M&A is another area of note. Referring law firm clients include Herbert Smith Freehills. Named individuals are based in Ho Chi Minh City.

Freshfields Bruckhaus Deringer has a particular strength in handling work for investors in IPOs. Tony Foster and Hanoi-based Bui Thanh Tien advised Warburg Pincus on an investment in Vincom Retail's IPO, and assisted Jardines with a billion-dollar investment in Vinamilk. The firm also advises investment fund VinaCapital on purchases of publicly traded securities. Other clients include HSBC, which the team advised on selling its stake in Techcombank by way of a tender offer. An Hoang Ha is a senior associate of note. The team is based in Ho Chi Minh City except where otherwise stated.

Mayer Brown handles a range of work in capital markets, both debt and equity, and has a strong presence in the investment bank space. Hoang Anh Nguyen, who is based in Hanoi, advised BIDV and BSC as co-managers and book-runners on a VND1.1tn bond issuance by a subsidiary of Thanh Thanh Cong Group, and in a separate deal advised Mipec on a VND800bn bond offering. The firm also advises EVNGENCO3, which owns the Phu My thermal power plant, on its proposed equitisation by way of IPO. Other clients include European and US investment banks.

    On 6/20/2012, the National Assembly voted to adopt the Law on Price (the "LOP") in response to the public demand for an effective legal framework to control price manipulation from dominant enterprises such as gasoline, electricity, etc. The law will take effect from 01/01/2013 and repeal Ordinance No. 40/2002/PL-UBTVQH10 dated 26/4/2002 of the National Assembly Standing Committee (the "Ordinance"), which is conceived as outdated and containing certain provisions contravening the WTO’s regulation. This article describes the main features of the law and provides some insight into its potential impacts on the Vietnamese economy.
