Appleby fields lawyers with expertise in the financial services, insurance, technology and telecoms sectors, as well as oil, gas, natural resources, retail and manufacturing. Representative areas of activity include M&A, private equity transactions and investments, corporate restructuring and joint ventures and disposals; the practice also assists private and publicly listed companies, brokers, investment management companies and investment advisers with establishing investment vehicles in offshore jurisdictions. Examples of high-value and multi-jurisdictional acquisitions include Alan Bossin's advice to Validus Holdings on its $5.6bn acquisition sale to American International Group. Other highlights included Clive Langley acting as Bermuda counsel to Saïd Holdings, principal investment vehicle for the Saïd family, on the £270m sale of a Canary Wharf office building to private real estate vehicle Cheung Kei Group; and Steven Rees Davies advising Hyatt on the Bermuda aspects of its acquisition of Exhale, a wellness resort and spa company. Bermuda managing partner and Bermuda corporate group head Tim Faries also heads up the insurance team; Tammy Richardson-Augustus, and Tonesan Amissah are also highly rated. Sally Penrose, Matthew Ebbs-Brewer,Gary Harris and Jerome Wilson were promoted to the partnership. Gavin Woods joined Carey Olsen Bermuda.

Conyers Dill & Pearman has significant experience in advising on M&A, insurance and corporate restructuring. Developments include the funds team seeing a number of insurance-linked security (ILS) fund formations in 2017; fintech being a growing area for the firm's Bermuda office; and the shipping group seeing an increase in ship registrations in Bermuda. The practice continues to advise Seadrill on its group restructuring, including advice on effecting a large-scale restructuring of a Bermuda company and its group under Bermuda law, as well as parallel proceedings pursuant to a Chapter 11 filing under the US Bankruptcy Code and judicial proceedings in Bermuda. In other areas, Chris Garrod acted for Unikrn in the formation of Unikrn Bermuda and its Unikrn token sale and cryptocurrency platform; and Neil Henderson led advice, as Bermuda adviser, to Roivant Sciences (Roivant) on a $1.1bn equity investment in Roivant, led by SoftBank Vision Fund. Other recommended directors include corporate head David Cooke, Sophia Greaves, who is noted for securitisations, M&A and insurance regulation, and shipping practice head David Astwood. Also highly rated are Bermuda funds group head Dawn Griffiths, Julie McLean, Guy Cooper, Graham Collis, Marcello Ausenda and Jason Piney, along with Elizabeth Denman, Niel Jones, Chiara Nannini and the recently promoted Victor Richards. The associates to note are Kathleen Moniz and Robert Alexander.

Cox Hallett Wilkinson Limited assists international clients with the Bermuda elements of multi-jurisdictional sales and acquisitions; the practice has significant expertise in commercial real estate, infrastructure projects and high-profile transactions in the insurance sector. Other areas of expertise include natural resources, aviation, shipping, investment funds, retail and telecoms. The team advised Norwegian Cruise Lines Holding on the delivery of a vessel as well as on the associated loan facility and security arrangements. Managing director Ernest Morrison's M&A experience involves advising insurance companies and other regulated entities. Recently promoted senior associate Janice Gutteridge's expertise includes M&A, the migration of corporate entities and partnerships, shipping and aircraft registrations, restructuring projects, and the formation and regulation of Bermuda companies, partnerships and limited liability companies. Former corporate and commercial head Natalie Neto left to join Walkers Bermuda, though Carol Clarke joined as counsel from Conyers Dill & Pearman.

MJM Limited's practice includes M&A and corporate restructuring, including expertise in significant hotel, club and resort transactions, infrastructure projects in Bermuda, and regulatory advice. It recently advised Flex LNG on its redomiciliation from the BVI to Bermuda. Peter Martin's experience includes business acquisitions and shipping; Jeremy Leese and Brian Holdipp are key senior associates. Leese's M&A work includes the sale of a telecoms company and the purchase and restructuring of an insurance company.

Wakefield Quin's corporate group is best known for advising on M&A; hotel and condominium real estate developments and acquisitions; cross-border reorganisations and restructurings; the establishment of investment vehicles and funds; and insurance and reinsurance matters. The firm’s regulatory practice saw an increase in work from the electronic communications, broadcasting and electricity sectors; the team's highlights included advising ATN International on its acquisition of a controlling interest in Fireminds, a technology solutions company that is focused on global software development and managed cloud services. Erik Gotfredsen and Ian Stone are the names to note.

Walkers Bermuda's industry sector expertise includes shipping, aviation, natural resources, investment funds, reinsurance and alternative risk products. It advised Thoma Bravo, as Bermudan counsel, on the acquisition of Bermuda target Kofax; the advice also included financing arrangements and post-closing restructuring. Jonathan Betts advises Bermuda-based and international clients on M&A transactions, private equity deals, the formation of investment funds, and insurance matters. Cox Hallett Wilkinson Limited's former corporate and commercial head Natalie Neto and senior counsel Paul Nystrom, previously at Conyers Dill & Pearman, joined the firm; Neto is noted for M&A transactions for public and private companies, and for private equity investments. Former funds, insurance and fintech practice head Ariane West left the firm.

ASW Law Limited regularly advises targets and acquirers. The team acted for XL Group on the Bermudian legal aspects of its proposed sale to French multinational insurance firm AXA. Corporate head Neil Horner's practice includes general corporate matters, M&A, reinsurance, funds and finance law. Senior counsel Kim Willey is also an experienced adviser, and Rebecca Vernon and Hanno Tolhurst are the counsels to note.

BeesMont Law's corporate and commercial practice includes investment funds, M&A, joint ventures and general cross-border transactional matters as well as aircraft registration, shipping and insurance. It advised Galena Biopharma, as Bermuda counsel, in a reverse merger with SELLAS Life Sciences Group, an oncology-focused clinical-stage biopharmaceuticals company. Stephanie Sanderson acts on both private and public M&A in industries such as mining, financial services, technology, telecoms, pharmaceuticals and life sciences; Sanderson also leads the firm's fintech team. Other names to note are Sharon Beesley and managing partner Marco Montarsolo.

Carey Olsen Bermuda opened in late 2017, with the corporate department established in early 2018. The practice advises on public and private M&A and on completing exchange-based listings; it also acts for boards and shareholders. Mary Ward, whose practice includes M&A, restructuring private and public companies, and private equity, joined from Conyers Dill & Pearman to head up the corporate practice; corporate partner Gavin Woods and Bermuda managing partner and employment law specialist Michael Hanson joined from Appleby.
