Position

I am a partner with the firm’s Corporate and M&A team. I have been with Sorainen since 2005, helping to build its Corporate, M&A and Employment practices.

Career

Corporate governance expert. Being particularly interested in corporate governance, I habitually contribute to improving corporate governance regulation by participating in various working groups focused on corporate law. For example, I authored the first Corporate Governance Code in Lithuania back in 2004 when I was a legal counsel at Nasdaq Vilnius Stock Exchange. The latest initiative I worked on was an expert group formed by the Baltic Institute of Corporate Governance working on transposing best practices introduced by the European Model Company Act (EMCA) into Lithuanian Company Law.

Helping international businesses to expand to Lithuania. Lithuania has become a very attractive destination for foreign investors and a regional leader in terms of FDI-created jobs. I have advised many foreign companies on making greenfield investments in Lithuania, especially by opening global business service centres (such as Barclays, Western Union, Nasdaq, AIG), as well as on entering the market or growing operations by way of acquisition.

Topping the Mergermarket M&A rankings. Thanks to such transactions as PKN Orlen’s acquisition of Mažeikių Nafta, Providence Equity Partners’ acquisition of telecoms group Bitė, the formation of joint venture energy giant LEO LT, and many others, I stand at No 1 among individual lawyers by total value of major M&A transactions advised in the Baltics (EUR 4.216 billion during 2005-2021) according to Mergermarket statistics.

Corporate life-cycle and cross-border matters. I advise clients on all issues, from setting up businesses and fine-tuning their corporate governance systems to managing shareholder relationships and disputes, optimising company group structures, and finally selling or winding up the business. My particular interest lies in matters with a cross-border aspect, such as cross-border mergers: Siemens, If P&C Insurance, ERGO, Seesam, Alpiq, Nasdaq central securities depositories, to name a few I have worked on.

People management and employment law. Leadership and HR topics have always been among my favourites. For many years I have been a partner supporting our HR team and contributing to HR processes in the firm. This helps me to better understand the challenges that our clients face in HR and allows me to better meet clients’ expectations when advising them on sensitive employment law matters.

Sorainen‘s corporate, M&A, and employment team advises on a broad spectrum of corporate matters, from internal corporate structures and complex shareholder consolidations, to the acquisition and sale of businesses. The firm has seen a lot of recent activity in mandates surrounding private equity and venture capital, as well as the energy, fintech and TMT arenas. Emphasising the breadth and depth of experience on the bench, the leadership team is comprised of five lawyers: Sergej Butov has extensive experience in the energy sector, Laimonas Skibarka specialises in M&A transactions within the TMT sector, Algirdas Pekšys has a particular interest in corporate governance, while Mantas Petkevičius leads the private equity and venture capital team, and Evaldas Dūdonis leads the regional defence sector with a primary focus on corporate law.
