Position

As a member of the firm’s Corporate and M&A practice, I lead the Private Equity & Venture Capital team. If I had to summarise my professional experience in only one phrase, I would say transaction negotiations. If I am allowed to expand to five, I would add private equity, M&A, foreign investments and large projects.

Career

Private equity and venture capital. For the last five years I have been leading the firm’s Private Equity & Venture Capital team, which covers both private equity and venture capital transactions as well as fund structuring (formation, negotiations for Limited Partnership Agreements (LPAs) or fund rules, regulatory advice). Together with the team we have worked on many private equity and venture capital investments and exits as well as mezzanine financing on both sides, representing respective funds and their counterparties. We have also helped to establish several private equity and venture capital funds mostly working on the general partner (GP) side, but also on the limited partner (LP) side.

Topping the M&A rankings. While my main specialization is transactions involving financial investors (private equity, venture capital and mezzanine), I am also an active member of our M&A team. I have assisted in many transactions on both the buy and sell sides. According to Mergermarket statistics, I am ranked No. 3 among individual lawyers by total value of major M&A transactions advised and No. 5 by total number of major M&A transactions (exceeding EUR 5 million value) advised in the Baltics 38 transactions with total disclosed value of EUR 2.723 billion between 2005-2021).

Experience in big projects. I am often involved in large M&A-like transactions, such as acquisition of the “good bank” of Ūkio bankas in the course of its bankruptcy by Šiaulių bankas (value over EUR 790 million), merger of the operations of DNB and Nordea banks in the Baltics forming the new banking group Luminor (approx EUR 11 billion in combined assets) and various internal corporate restructurings, group structuring, and the like.

Foreign investments in Lithuania. I also often assist foreign investors in making investments in Lithuania, including direct foreign investments supported by investment incentives.

Real estate transactions. I am an active member of our real estate transaction team often involved in major commercial real estate (shopping centres, business centres) transactions.
