Andrew is a corporate fund partner in our Boston office.

Career

Andrew’s practice focuses on the structuring, formation and operation of venture capital, growth equity and other private equity funds and their related general partner and management company entities. Andrew counsels funds in all stages of their fundraising and organization, including in preparing offering materials, negotiating with investors regarding fund formation matters, and drafting partnership, limited liability company and other governance agreements. Andrew also advises on securities laws and compliance with the Investment Company Act of 1940, the Investment Advisers Act of 1940, ERISA, and other aspects of the regulatory framework applicable to formation and governance. After fundraising, Andrew counsels fund managers on all aspects of day-to-day operations. In addition, Andrew advises clients on investment matters related to tokens, cryptocurrencies and other digital assets. Andrew represents a number of leading venture capital firms and routinely advises first-time and spin-out fund managers.
