Sarah Bock is a partner in Goodwin’s ERISA & Executive Compensation Practice. Ms. Bock advises both private and public companies, with a focus on clients in the life sciences, technology and private equity sectors.

Ms. Bock advises clients on the design, drafting and administration of equity-based compensation programs, employment, severance, change in control and deferred compensation arrangements, including associated tax (including Section 409A), accounting and securities law implications. She also assists public companies with corporate compensation disclosure for proxy filings and other applicable securities filings. Ms. Bock also plays an active role in corporate transactions, representing both buyers and sellers in connection with employee benefits and compensation-related aspects of transactions, including pre-signing negotiations, executive and equity compensation (including Section 280G – the golden parachute rules) and in post-closing employee integration matters.
