Jaime Munro is a transactional lawyer with extensive experience in the areas of private and public M&A, private equity, capital markets, corporate finance, securitizations and major infrastructure projects, advising multinational and Chilean companies. Jaime has presented at a number of conferences on issues regarding M&A, Securitization and Real Estate Investments.
His impressive track record includes advising on several M&A transactions, including public M&A of Dresdner Bank Chile, Farmacias Ahumada, Iansa, Campos and Polpaico. Jaime has been identified as a leading individual in the fields of M&A and Banking and Finance by Legal 500, Best Lawyers and Chambers.
Representative Legal Matters
- Advised Mantos Copper on the sale of a 30% stake of Mantoverde S.A. to Mitsubishi Materials Corporation, for USD 275 million. This operation, together with the financing for USD 571.6 million, will fully fund the Mantoverde Development Project (MVDP), for a total of USD 847 million.
- Advised HSBC, as lender, on the USD70 million financing granted to State Grid Chile Investment SpA, to finance part of the acquisition of a 100% interest of Sempra Americas Bermuda II and 56,22% of Sempra International Holdings.
- Advised Air BP Global Investments, a British Petroleum (BP) group company, in the negotiation and sale of its share stock in Air BP Copec S.A. to Compañia de Petroleos de Chile Copec S.A and the termination of several agreements.
- Advised LafargeHolcim in the preparation and conduction of a private sales process with a view to selling and disposing of all the shares owned by its subsidiary Holchile S.A. in Cemento Polpaico S.A., a Chilean publicly listed company, which represent approximately a 54.3% ownership interest in the target company, and the subsequent negotiation and closing of an Agreement to Tender and promise to purchase and sell shares with the winning bidder. Value of deal: USD 116 million.
- Advised Credicorp Capital Asset Management S.A. Administradora General de Fondos in (i) a joint venture with Greystar Real Estate for the acquisition, development, construction and management of residential projects, a business that is relatively new in Chile; (ii) the incorporation and structuring of a public fund for these purposes; (iii) the acquisition of a 12,000 sq. meters land where Clínica Sara Moncada is located in Santiago, in order to develop a project consisting of 4 towers of residential apartments for rent with a total investment of around USD 35 million; and (iv) the negotiation and subscription of a development agreement and other agreements necessary for the acquisition of the property and development, construction and management of the residential project.
- Advised E D & F Man in connection with two simultaneous tender offers for Iansa and Campos (both Chilean listed companies)
- Advised Walgreens Boots Alliance in connection with the acquisition Chilean pharmacy chain Farmacias Ahumada (FASA), a listed company valuing approximately USD $638 million.
- Advises Grupo Security S.A. on a daily basis regarding all B&F and M&A matters.
- Advised Sierra Gorda SCM, held by Quadra FNX Mining in connection with the negotiation and execution of a 251 MW PPA, a Port Services Contract, Project Financing and other material project contracts.

The team further assists with public offerings, bond issuances, stock exchange listings, and multi-jurisdictional due diligence work. The team is co-led by capital markets specialist Fernando Castro and Jaime Munro, whose wide-ranging practice includes securitisation mandates. Promoted to partner in July 2023, Cristóbal Larrain regularly works with the firm’s New York team on project bonds across Latin America.

The group’s coverage encompasses M&A and joint ventures, and its assistance including post-acquisition integration services, due diligence, antitrust clearance, and debt and equity financing. The practice additionally advises on corporate reorganisations, dissolutions and liquidations, privatisations, commercial contracts and corporate governance.
