Career

James has a broad range of experience in domestic and international mergers and acquisitions, equity capital markets transactions and other corporate work. In addition, he also has experience in acquisition finance and general corporate banking and has previously spent time on secondment with the Bank of Scotland in Edinburgh.
James is part of Ogier’s multi-disciplinary Private Equity team. He specialises in acquisitions and disposals made by private equity funds, including the structuring of vehicles for these purposes, with experience in investment and shareholder agreements, bespoke articles of association and completion mechanics, including dealing with management interests (roll ups) and equity funding.

Ogier advises on cross-border and local M&A transactions, with further expertise in investment deals and transactions in regulated sectors such as insurance. The practice is jointly led by Bryon Rees and Tim Clipstone, both of whom oversee a broad range of transactions, including those led by private equity funds, and provide related regulatory support. Additionally co-heading is Richard Sharp, who takes the lead on insurance and reinsurance matters. Michelle Watson Bunn handles transactions for private equity clients and also advises on fund formation, while James Walsh handles a mixture of cross-border M&A and ECM transactions.

Ogier is noted for its work on pension longevity risk swaps and its expertise in the captive insurance market, while working with the firm’s dispute resolution teams on contentious matters around PII and D&O coverage. The group additionally covers regulatory proceedings. Richard Sharp leads the department, handling the spectrum of insurance and reinsurance challenges, including risk swaps, ILS transactions and cellular structures. Michelle Watson Bunn and James Walsh advise insurers in relation to M&A transactions, while Gabrielle Payne assists with the establishment of insurance vehicles and transactional matters.
