Career
Benran is a partner of Haiwen & Partners. He has extensive experience in advising international and Chinese private equity funds, sovereign funds, tech companies, other financial and strategic investors in growth capital and co-investment transactions, exits as well as complex cross-border mergers and acquisitions and joint ventures.
Benran joined Haiwen & Partners in February 2024 as partner. Before joining Haiwen, Benran was a partner of Shanghai Zhaosheng Law Firm (which is in joint operation with Linklaters in China), heading the firm’s Beijing corporate practice. Prior to this, Benran had worked in Linklaters from 2012 to 2016 and in Paul, Weiss, Rifkind, Wharton & Garrison LLP from 2017 to 2018, respectively.

Education
Mr. Huang received his LL.B. degree from China University of Political Science and Law in 2011, and his LL.M. degree from the London School of Economics and Political Science in 2012.
Assisting traditional media and entertainment companies and multinational technology corporations, Haiwen & Partners has a strong practice for TMT transactions, compliance and regulatory matters. The team is led out of Shenzhen by Weiwei Sun who is well-versed in assisting TMT, culture and entertainment clients with M&A and private equity investments. The Beijing practice is led by Peng Fu and Yu Cao. Fu specialises in data and IP matters and is experienced in advising automotive clients on TMT issues, while Cao is the go-to for media and entertainment clients and often handles film and TV project transactions, production financing, advertising, and other media issues. Jianyuan Yang excels in data protection matters and is based in Beijing. Benran Huang splits his time between Shanghai and Beijing and advises technology companies and PE funds with cross-border M&A.
Haiwen & Partners, which acts for private equity funds and start-ups on significant investment projects, consistently leverages the firm’s notable strengths in capital markets, IP, tax, compliance and antitrust. In Beijing, Jiping Zhang is an expert in M&A, foreign direct investment, capital markets and project financing; Shuangjuan Wei is experienced in equity investments, securities offerings, funds and asset management; Jie Lan and Weibo Jiang are both M&A specialists; Yunpeng Fan advises global and Chinese corporate clients and investment funds on M&A; and Jackson Tang, who works between Beijing and Shanghai, focuses on cross-border transactions. In February 2024, Benran Huang, an adviser on growth capital and co-investment deals, was hired for the firm’s Beijing and Shanghai offices from Zhao Sheng Law Firm.
Haiwen & Partners boasts a ‘professional and reliable’ team that represents buyers, sellers, lenders, and financial advisors in planning and executing M&A transactions. The practice is led by Jiping Zhang from Beijing, who advises international financial institutions, Chinese enterprises, and multinational corporations, with a particular focus on cross-border M&A investments. Wei Gao is known for his proficiency in transactions involving state-owned enterprises and Jackson Tang specialises in cross-border transactions involving both private and public companies, with expertise in the healthcare, TMT, and retail industries. Eric Liu, who joined from Zhao Sheng Law Firm in December 2023, brings significant experience in outbound investments in the mining, infrastructure, and energy sectors. The team also welcomed Zhao Sheng Law Firm‘s Benran Huang in February 2024.
