Baker McKenzie handles a range of work concerning real estate, with a particular focus on the hospitality sector. Thuy Hang Nguyen led a team that advised Four Seasons Hotels and Resorts Asia on negotiating various hotel agreements. Fred Burke handled various matters for core client VinaCapital, including assisting with selling a $77m interest in a real estate development in Ho Chi Minh City, and advising on a hospitality joint venture with Warburg Pincus spanning projects across Vietnam. Burke also advised Norfolk Group Investments on developing a number of township zones. Thanh Son Dang and senior associate Gia Long Nguyen are also key contacts. Other clients include several REITs.

Frasers Law Companyprovides a high-level service and has strong knowledge regarding the regulatory regime’. The team handles a range of transactions, including buying and selling land lots, residential developments, industrial projects and logistics parks, as well as advising on construction and leasing matters. Mark Fraser has ‘very strong legal and local knowledge, and a good commercial understanding’. Justin Gisz and Nguyen Thi Lang are also key names. Sojitz Corporation is a client.

Freshfields Bruckhaus Deringer advises parties to joint ventures on megaprojects, as well as acting for investors in the hotel sector and other developers. Tony Foster advised Warburg Pincus on creating a joint venture with VinaCapital to create a platform for hotel-sector investments, and, together with counsel Bui Thanh Tien, assisted Emaar Properties with a joint venture with Bitexco Group to create a development on the Binh Quoi peninsula in Ho Chi Minh City. Associate Hoa Hoang is also noted.

ZICO Law’s real estate offering, led by David Lim, handles large transactions regarding hotels, industrial, residential and retail developments. Lim advised HPL Hotel & Resorts on the purchase of the Nam Hai hotel in Quang Nam province, which has since rebranded as the Four Seasons Hoi An. Other clients include investment funds, hotel managers and real estate developers. Phuc Nguyen was a new arrival in February 2017.

Audier & Partners Vietnam L.L.C. handles a range of work, covering hospitality, residential and industrial real estate. Etienne Laumonier and Nguyen Cong To are advising a hospitality company on a project in Phu Quoc province, and Laumonier and Bernadette Fahy assisted a company with creating a branded residence project. Nicolas Audier is another key name.

LNT & Partners advises Vietnamese and international developers on complex nine-figure dollar projects, including office, retail and residential developments. Thai Binh Tran heads the practice.

Rajah & Tann LCT Lawyers advises foreign investors from jurisdictions including Singapore, Hong Kong and China on significant Vietnamese investments. Foreign counsel Logan Leung and Huynh Thi Thu Thuy advised cornerstone client Mapletree Investments on its $215m purchase of Kumho Asiana Plaza Saigon, a mixed-use development in the centre of Ho Chi Minh City, while Leung and senior counsel Tran Thi Phuong Thao advised the same client on a SG$21m acquisition of a logistics park. The team also acts for local investors, and Hoang Thi Thanh Thuy and Leung advised Nam Long Corporation on a joint venture with two Japanese investors to develop a project with 110 villas and 234 apartments.

Russin & Vecchi, LLC’s is ‘efficient, knowledgeable and responsive’ and ‘a source of succinct answers’ for work concerning office, hotel and planned city developments. Nguyen Huu Minh Nhut advised Phy My Hung on separate acquisitions in Hoa Binh province and near Saigon South New City. Mai Thi Minh Hang advises on matters such as skyscraper construction and hotel franchising, with Nguyen Huu Hoai handling complex ground leasing transactions. Clients include a Genting-VinaCapital joint venture, Marriott and Hyatt.

Vilaf handles acquisitions of office buildings and residential developments, plus construction disputes. Nguyen Truc Hien is a key name for transactional work, with Vo Ha Duyen and Tran Tuan Phong also involved in this space. Duyen is also a key contact for EPC arbitrations between contractors and project owners. The group provides a full service to real estate clients, and testament to this was Hien’s advice to real estate developer Novaland Investment Group on a bond issuance.

Allen & Overy LLP’s Duc Tran advised VinaCapital Vietnam Opportunity Fund on selling a five-star hotel to a Warburg Pincus-VinaCapital joint venture, and assisted CFLD International with an investment, by way of share deal, in Vina Dai Phuoc Corporation, which is developing 2km² of land in Dong Nai province. Other mandates concern real estate finance, and fund investments in Vietnamese developers.

Asia Counsel Vietnam Law Company Limited has a history of advising on educational, hotel and industrial projects, with German-related work including the Deutches Haus building in Ho Chi Minh City (which includes the new German consulate). Minh Duong and Christian Schaefer are the key contacts.

BD Lawyers & Associates Co., Ltd (BDLAW) has a track record advising building owners on construction, land use, and leasing pertaining to offices, and industrial and hospitality properties. Nguyen Trung Kien is a key contact.

Bizlink Lawyers is experienced in advising on high-value developments and transactions regarding hotels, shopping centres and residential developments. Do Trong Hai is the key name.

Nagashima Ohno & Tsunematsu advises Japanese investors on various projects in Vietnam. Kiego Sawayama and foreign attorney Ngoc Hoang, who are based in Hanoi, advised a serviced apartment operator on leasing a building, and assisted Tokyo LLC with a golf course project in Hai Phong. Motohisa Nakagawa in the firm’s Ho Chi Minh City office handles work concerning large office developments.

Tilleke & Gibbins advises foreign investors in the industrial and hospitality sectors, among others. Dat Hoang Truong was part of a team that advised Fruit of the Loom on purchasing two parcels of land, which included buying out a factory from joint-venture partners. Vinh Quoc Nguyen provides day-to-day advice to Marriott, which includes handling hotel management agreements. Other clients include Gensler, which the firm advises on regulations applicable to foreign construction companies. Jim Dao and Michael Lee are no longer with the firm.

Vina Legal’s team is ‘very responsive, with lawyers who understand the needs of clients very well’; it has a track record handling construction matters for procurers, including work under EPC contracts. Nguyen Bao Huy heads the practice, and Duong Quang Long is ‘a talented lawyer who provides relevant and effective advice’. Senior associate Nguyen Thanh Long ‘is a very reliable lawyer who provides accurate and comprehensive advice’.

Vision & Associates handles a mix of transactional and regulatory work, including real estate finance. Dang Truong Hieu advises Obayashi Corporation on subcontractors’ agreements. Luu Tien Ngoc’s expertise includes joint venture matters, and executive partner Le Quynh Anh is a key name for real estate finance. Managing partner Pham Nghiem Xuan Bac advises on first-in-country projects in the hospitality sector. Other clients include City Garden Apartments Vietnam, which the firm advised on corporate matters following a change of ownership.

YKVN covers matters regarding megaprojects, as well as construction law issues. K Minh Dang and Le Thi Loc advised Keppel Land on a joint venture regarding a $1.2bn development in Ho Chi Minh City.     On 6/20/2012, the National Assembly voted to adopt the Law on Price (the "LOP") in response to the public demand for an effective legal framework to control price manipulation from dominant enterprises such as gasoline, electricity, etc. The law will take effect from 01/01/2013 and repeal Ordinance No. 40/2002/PL-UBTVQH10 dated 26/4/2002 of the National Assembly Standing Committee (the "Ordinance"), which is conceived as outdated and containing certain provisions contravening the WTO’s regulation. This article describes the main features of the law and provides some insight into its potential impacts on the Vietnamese economy.
