PHOENIX TOWER INTERNATIONAL

Legal advice on the acquisition of 628 rooftop sites from Colombia Telecomunicaciones (Telefónica Colombia). Our involvement included the negotiation of the asset purchase agreement for the purchase of the equipment and the ancillary contracts that applied to the transaction such as leaseback of infrastructure to Telefónica, assignment of ground leases, and execution of new ground leases when applicable. Furthermore, we prepared the antitrust filing required to notify Colombian authorities of the transaction and are currently (post-closing) performing the due diligence on the acquired assets.

In addition to this, we assist Phoenix Tower with its day-to-day growing strategy and due diligence for several additional sites.

PRODUCTOS RAMO 

Legal advice on the sale of a property located in the Zona Franca de Occidente to Data Horizon Americas. The property is jointly owned by Productos Ramo and the manager of the Zona Franca de Occidente, whilst the purchaser was Data Horizon, a major data center developer. The purchaser intended to acquire the property to build a data center; however, some previous licensing, urbanistic, and public utilities obligations were assumed by the sellers (Ramo and Zona Franca de Occidente).

UNILEVER

Legal advice on the sale of Unilever’s factory located in Cali. The factory was purchased by Upfield, a major international producer of spreads, margarine, and similar products. The sale is part of an overall global transaction under which Unilever and Upfield sell and purchase assets between each other across the Americas.

RENEWABLE ENERGY DEVELOPERS: GRENERGY, NORTHLAND POWER, TRINA SOLAR, BAYWA, MAINSTREAM ENGIE, SOLARCENTURY, SOLARPACK

The firm advised the Clients in connection with the due diligence process of the acquisition, construction, and development of multiple solar and wind farms for renewable energy projects all around Colombia and particularly in the Caribbean region and the eastern Plains (“Llanos Orientales”), our advisory focused on the real estate, environmental and land use aspects required for the operation of those projects. We have also accompanied, alongside other teams of the firm, the acquisition and/or structuring of some of these projects. During these acquisition processes, we have advised the Clients on the drafting of clauses that guarantee the tenure of the properties in which the projects will be developed for long periods. Likewise, we have subsequently advised them on verifying the precedent conditions agreed upon in each of the cases.

UNICENTRO SHOPPING MALL

The firm advises Unicentro on the permanent legal needs regarding real estate and zoning regulations for structuring the scheme of expansion of the mall, which involved dealing with complex condominium regime regulations, planning permits necessary for the expansion, and financial matters.
