OXY

1. We have advised Oxy (through its subsidiary Anadarko Colombia Company) in a farm-out agreement with the State Oil Company Ecopetrol for the transfer of a 40% stake in offshore blocks COL1, COL 2, COL6 and COL 7.

Importance: This is important given that recent discoveries in the area suggests there may be available gas province which would be of strategic importance to the energy transition of Colombia.

Complexity: Negotiations were extremely complex (CONFIDENTIAL) due to the intention of the parties   to drill an additional deep-water well in one of the blocks as explained in confidential matters below. The farmout was conditional upon the approval by the ANH of this well.

2. We have advised OXY in the implementation of the activities required to replace the guarantees granted by the head office to its subsidiary in Colombia with respect to the Llanos 39 and 52, and Putumayo 36 blocks by guarantees issued by Carlyle as a result of the sale of the assets of Oxy in Colombia to Carlyle.

GRENERGY

We have advised Grenergy in the negotiation of an EPC contract for a solar plant that will be used as a template for the development of its Bayunca project and five (5) additional projects with an estimated capacity of 9.9 MW.

ARROW EXPLORATION

We have advised Arrow Exploration  on the due diligence and title opinion, as well as the review of Colombian regulatory aspects of the Admission Document required for  the admission of its shares  to trading on the AIM Market of the London Stock Exchange and the raising of approximately £8.8 million (C$15.0 million), through a placing and subscription for new common shares with new investors, Canacol Energy Ltd. (“Canacol”), and executive management while maintaining its listing on the TSX Venture Exchange (“TSX-V”).

Without this, they could not have listed the company.

PUERTO BAHIA COLOMBIA DE URABA S.A.

We have advised Puerto Bahía Colombia de Uraba, in the negotiation and signing of long term energy supply contracts as well as electricity interconnection contracts for a multimode port to be developed in Colombia´s Pacific coast, whose sponsors are Eiffage Infrastructure and Banacol. The Project has closed its financing and is proceeding to construction.

This project has profound implications for the neglected Pacific coast of Colombia.

GRENERGY RENOVABLES

1. We have advised Grenergy Renovables in the acquisition of two (2) energy generation projects with a combined capacity of 20 MWp in the department of Tolima. Our department drafted and negotiated the asset purchase agreements for the acquisition of the projects and assisted Grenergy in all pre-closing, closing and post-closing matters.
2. More recently, we advised in Grenergy on the acquisition of an additional power generation project with an installed capacity of 9,9 MW in the department of Córdoba.
