  • A US-based self-drive car rental service: Providing legal services for the client in the filling procedures for M&A offshore transactions following prevailing Vietnamese regulations.
  • Vietnam pharmaceutical company: Acting as legal counsel for a Vietnamese company in Binh Duong province, mainly engaging in manufacturing medicines in its strategic investment in a joint-venture pharmaceutical company by contributing a majority of equity with a transaction value of up to US$30 million. During the transaction, Dentons LuatViet has performed the following works, including but not limited to reviewing the shareholders’ agreement, drafting and reviewing the charter of the joint venture, and providing a legal opinion about rights and obligations of shareholders in the joint venture, disputes on management.
  • Dietary supplement manufacturer: Acting as legal counsel for the Buyer, a company that manufactures dietary supplements in a Binh Duong industrial park, on a transaction to purchase 50% of the contributed capital from the other members for more than US$20 million. Our responsibilities included providing legal advice on the regulatory aspects of pharmacy investment and carrying out the necessary acquisition procedures.
  • A leading Chinese-owned investor: Advising on receiving the transferrable shares in a company engaged in the field of solar energy production in Ninh Thuan Province with a transaction value of US$3.1 million.
  • A start-up education company in Vietnam: Advising a Vietnamese fund on its investment in the form of a US$30 million convertible loan.
  • Confidential Client: Advising a Filipino investor being a fund on purchasing newly offered shares of a Vietnamese food manufacturing company with a transaction value of up to US$32 million.
  • Confidential Client: Acting as a legal counsel for a Japanese fund in purchasing newly offered shares in a company operating in the technology field in Ho Chi Minh City with a transaction value of up to US$24 million.
  • Confidential Client: Advising a French investor on the acquisition of contributed capital worth more than €21 million from a joint venture company partner engaged in pharmaceutical production.
  • Confidential Client: Advising a Hong Kong-based company on comprehensive investment and corporate regulations related to establishing a subsidiary operating in the manufacture, import, and export of electronic components in the northern city of Vietnam with a total investment of up to US$10
  • Confidential Client: Advising a leading logistics company in Vietnam to transfer the value of land use rights and ownership of warehouses in the Industrial Park to a Singaporean investor with a transfer value of more than $22 million.
  • Confidential Client: Assisting a BVI investor in conducting the entire legal due diligence on the target company and its seven subsidiaries and drafting a convertible loan agreement and other related documents for a loan of US$25 million.
  • Confidential Client: Acting as a legal counsel for a Japanese contractor in constructing a 50MWp photovoltaic solar power project.
  • Confidential Client: Advising a top-notch beverage joint-venture company in Vietnam on compliance with Vietnamese regulations related to commercial business activities and licensing requirements.
  • A Vietnam-based construction company: Representing the client in a dispute at VIAC regarding incurred costs worth nearly VND30 billion under a construction contract for a commercial apartment project in District 7, Ho Chi Minh City.
  • A German construction company: Representing the client in litigation to enforce a judgment for a sum of US$1.3 million, based on an award from VIAC for a dispute over a design and construction contract involving bored piles and columns of a commercial building in Ho Chi Minh City
