CINVEN

Colombian local counsel to Cinven, a private equity fund, in the business of investing in world class global enterprises in its acquisition of Bayer Environmental Science Professional (BESP), a leading global provider of products and services to create healthier environments, to manage pests, and to eliminate vector-borne diseases, across a range of end-markets.

The Cinven funds’ investment, acquired from the German-listed Bayer AG, builds on its recent experience of carving out TK Elevator from thyssenkrupp AG and Arxada (formerly Lonza Specialty Ingredients) from Lonza Group AG.

Cinven is a responsible, ESG-focused investor, and committed to maintaining the environmental, regulatory and employee stakeholder responsibilities of the target.

ODINSA

Posse Herrera Ruiz has advised Odinsa in two separate one-of-a kind transactions involving the creation of investment platforms for roads (2) and airports (1). Each transaction comprised the initial sale of 50% of Odinsa’s stake in both road and airport concessions to Macquarie. Simultaneously, both Macquarie and Odinsa contributed their participations to newly formed investment funds, allowing follow-on investments and the expansion of each investment platform.

Colombian legal counsel to Aligned Data Centers, Largest transaction in the industry in Colombia. a company of Macquarie Infrastructure, in its acquisition of OData, from Patria Investimentos and CyrusOne.

 

MUBADALA GROUP AS OWNER OF SOCIEDAD MINERA DE SANTANDER – MINESA AND SOCIEDAD MINERA CALVISTA COLOMBIA

Colombian counsel in relation to:

1)     a joint venture agreement,
2)     an investment agreement,
3)     a streaming agreement and the collateral structure, by means of which Aris Gold acquired a 20% ownership interest in Sociedad Minera de Santander and Sociedad Minera Calvista Colombia and
4)     a further option to acquire an additional 30% ownership interest.

 

UNILEVER ANDINA

In the asset sale of its spreadable factory and business located in Cali, Colombia. The purchaser was the local subsidiary of UPFIELD, one of the largest plants based consumer product multinational company.
