Winston & Strawn represents clients in virtually every type of dispute that could arise from operating a business. BUSINESS TORTS, FRAUD, AND RICO
We defend against allegations of fraud, false advertising, economic interference, and RICO-related offenses, as well as unfair competition or business practices claims under the Lanham Act, California’s Unfair Competition Law (Section 17200), and similar laws.
CONTRACT LITIGATION
Winston attorneys counsel clients for the negotiation, interpretation, termination, and – when necessary – litigation of contracts. We regularly represent parties in breach of contract, contract interpretation, and related fraud actions arising from a variety of business-to-business agreements.
DOMESTIC ALTERNATIVE DISPUTE RESOLUTION
We routinely engage in a wide variety of alternative dispute resolution (ADR), including mediation, arbitration, conciliation, neutral evaluation, and summary jury trial. In these proceedings, we not only rely upon our courtroom experience to spot outcome-determinative legal issues at a dispute’s earliest stage, but we also utilize our years of experience in extrajudicial forums to successfully navigate the unique rules and procedures inherent to alternative dispute resolution.

The firm represents clients in trade regulation and unfair competition cases before the FTC, primarily involving misleading advertising claims.
BANKRUPTCY LITIGATION
Our attorneys represent creditors, creditors’ committees, trustees, and other parties to disputes involving bankruptcy and insolvency proceedings.
M&A/CORPORATE GOVERNANCE
In Delaware and across the country, we represent a range of clients in litigation arising from tender offers, mergers and acquisitions, “going-private,” and other corporate control transactions. Our diverse experience includes hostile takeover litigation, proxy contests, expedited shareholder class actions, challenges to defensive devices such as poison pills, derivative suits, “busted deal” litigation, and post-closing disputes.
NON-COMPETITION AND NON-DISCLOSURE LITIGATION
Winston attorneys defend breach claims and enforce agreements on behalf of clients. Our experience includes pre-litigation planning, obtaining and defending against temporary restraining orders, preliminary injunction hearings, arbitration proceedings, and trials on damages. We also draft non-competition, non-solicitation, and confidentiality covenants.
